Common use of Management and Operations Clause in Contracts

Management and Operations. (a) Subject to the provisions of this LLC Agreement, including Sections 8.2(b) and (c), the business, property and affairs of the Company shall be managed and all powers of the Company shall be exercised by or under the direction of the Manager. Without limiting the generality of the foregoing, but subject to Sections 8.2(b) and (c), and subject to the express limitations set forth elsewhere in this LLC Agreement, the Manager shall have full authority and discretion and all necessary powers to (i) take any actions it deems necessary or advisable for the administration of the Company's affairs and (ii) manage and carry out the purposes, business, property, and affairs of the Company, including, the power to exercise, on behalf and in the name of the Company, all of the powers described in the LLC Act. The Members shall from time to time at the request of the Manager execute a resolution or other appropriate document which shall evidence the rights and duties of the Manager hereunder.
