Common use of Management and Control Clause in Contracts

Management and Control. The General Partner shall manage and control the business and affairs of the Partnership and shall have all of the rights and powers which may be possessed by a general partner under the Act. Except as otherwise provided in the Act, the General Partner shall make all decisions with respect to the business and affairs of the Partnership, and the Limited Partner shall have no right to participate in the management of the Partnership.

Management and Control. Except as otherwise provided in pursuant to the Act, and such rights and powers as are otherwise conferred by this Agreement or by law or which are necessary, advisable or appropriate to the General Partner shall make all decisions with respect to management of the business and affairs and accomplishment of the business purpose of the Partnership. Neither the General Partner nor any of its Affiliates shall be entitled to any compensation, and other than reimbursement for expenses, from the Limited Partner shall have no right Partnership for services rendered to participate in the management of the PartnershipPartnership other than its Interest.

The act of the General Partner in carrying on the business of the Partnership will bind the Partnership. Except as otherwise required under the Act or as provided in the Actherein, the General Partner shall make all decisions with respect to the business and affairs of the Partnership, and the Limited Partner shall have no right to participate in the management of the Partnership.

The Subject to Article 5 hereof, the General Partner shall manage and control the business and affairs of the Partnership and shall have all of the rights and powers which may be possessed by a general partner under the Act. Except as otherwise provided in the ActAct and without limiting Article 5 hereof, the General Partner shall make all decisions with respect to the business and affairs of the Partnership, and the Limited Partner shall have no right to participate in the management of the Partnership.

Management and Control. The General Partner shall have the exclusive right and authority to manage and control the business and affairs of the Partnership and shall have all of the rights and powers which may be possessed by a general partner under the Act. Except as otherwise provided in the Act, the General Partner shall make all decisions with respect to the business and affairs of the Partnership, and is hereby authorized to take any action on behalf of the Limited Partnership that the General Partner deems necessary, advisable or appropriate in accordance with the provisions of this Agreement and applicable law. The General Partner shall have no right full authority to participate in act for and bind the management Partnership. Persons dealing with the Partnership shall be entitled to rely conclusively upon the power and authority of the Partnership.General Partner referred to in this Agreement.
