Maintenance of Quality. In the course of marketing, promoting, advertising, distributing, providing and selling the Goods and Services under the Marks, Teacher shall maintain and adhere to standards of quality provided below at Schedule B and those imposed by law. Such quality standards are designed to ensure that the quality of the Goods and Services furnished under the Marks are consistent with the high reputation of the Marks and conform with applicable laws. Whenever SVA wishes to change the quality standards, it will notify Teacher of such changes, and will give Teacher reasonable time to make the changes required for Teacher to conform to the amended quality standards. To maintain quality standards, SVA and its authorized representatives shall have the right, but not the obligation, to inspect, monitor, and evaluate facilities and teaching practices used to furnish the Goods and Services.
Maintenance of Quality. (a) Adherence to Quality Standards. In the course of marketing, ------------------------------ promoting, advertising, distributing, leasing and selling Sprint PCS Products and Services and Premium and Promotional Items under the Licensed Marks, Licensee shall maintain and adhere to standards of quality and specifications that conform to or exceed those quality standards and technical and operational specifications adopted and/or amended in the manner provided below ("Quality Standards") and those imposed by Law. Such Quality Standards are designed to ensure that the quality of the Sprint PCS Products and Services and Premium and Promotional Items marketed, promoted, advertised, distributed, leased and sold under the Licensed Marks are consistent with the high reputation of the Licensed Marks and are in conformity with applicable Laws.
Maintenance of Quality. Licensee shall maintain the quality and specification of the Licensed Products as have been approved by Licensor pursuant to Sections 4.2 and 4.3 above. When Licensor gives instruction to Licensee to improve the quality and/or details, Licensee shall follow the instruction.
Maintenance of Quality. Supplier agrees that it will Manufacture all Wafers under this Agreement in accordance with the Manufacturing Requirements for defect density and other quality criteria consistent with the relevant standards at the Plant immediately before the Closing Date, measured using data from [***] to the transfer of the Transferred Assets to Supplier under the Asset Purchase Agreement except for cycle time that will be calibrated per loading.
Maintenance of Quality. 6.01A Licensee agrees that in order for Licensor to properly provide the Technical Assistance to Licensee pursuant to this Agreement, Licensee shall strictly comply, in the Production of the Products hereunder, with all specifications and quality standards that are reasonably established by Licensor for Production of the Products. Licensee agrees to submit to Licensor, as Licensor reasonably requests, Licensee's quality control and inspection data in such form as may be reasonably established by Licensor for its inspection. Licensee shall keep, during and for one (1) year after the term of this Agreement, copies of such quality control and inspection data so furnished to Licensor. Licensee agrees, upon reasonable request of Licensor, to send to Licensor samples of Products or the Components obtained by Licensee or its Sub-Licensee in reasonable quantities. Licensor may give Licensee, as promptly as possible, such Technical Assistance and such pertinent advice and/or instructions in written form in English with respect to the Products and/or Components, as shall be necessary in the reasonable opinion of Licensor after inspecting and/or testing such samples and/or after reviewing the reports of quality control, inspection and/or manufacturing data.
Maintenance of Quality. 6.1. Manufacturing Standards. Manufacturer shall be responsible for maintaining commercially acceptable quality control standards in all manufacturing relating to the Products it delivers to BAS or BAS's designated. or approved distributors or retailers. Unless BAS is at fault, including but not limited to, because of a failure to take reasonably prudent steps, or other steps reasonably suggested by Manufacturer, to protect the delivered Products, Manufacturer shall be responsible for and compensate BAS for expenses incurred for any recall, and when necessary for replacement of Products, failing to meet commercially acceptable standards.
Maintenance of Quality. 12.1 In the course of marketing, promoting, advertising, selling and providing Genotyping Services under the Orchid Trademarks, DNAPrint will at all times maintain and adhere to the quality standards adopted by Orchid consistent with the high reputation of the Orchid Trademarks.
Maintenance of Quality. 7.1. Licensee agrees to cooperate with Licensor to facilitate Licensor's control of the nature and quality of the Products, to permit reasonable inspection of Licensee's operation and the Facilities, and to supply Licensor with specimens of use of the Marks prior to the Marks being affixed to any of the Products or used in writing or depiction, including without limitation, any advertising, promotional or display materials, consumer operational manuals or service literature.
Maintenance of Quality. BSTC agrees that its manufacture of the Product and its marketing and service thereof will be of high quality and at least of the quality offered by STI at the time that this License Agreement is entered. BSTC agrees that it will maintain the same level of quality for its manufacture of the Product and its marketing and service thereof throughout the term of this License Agreement and throughout any renewals thereof.
Maintenance of Quality. Company shall, from time-to-time, at the request of Licensor, but nor more often than once during each semi-annual period during each Contract Year, submit current production samples of Licensed Produces produced hereunder in order that Licensor may assure itself of the maintenance of quality standards hereunder. Company represents and warrants that all Licensed Products which are advertised, distributed and sold to consumers in accordance with this agreement shall be substantially identical to and of no lesser quality than the sample thereof which was previously submitted to and approved by Licensor in accordance with this section.
