MAEM. The Agent shall be satisfied (i) that the long-term senior unsecured Indebtedness of MAEM is rated at least "Baa3" by Mxxxx'x and "BBB-" by S&P, (ii) that Mirant Corporation, directly or indirectly, owns at least 51% of the outstanding voting equity of MAEM and (iii) with the terms and conditions of any intercompany lines of credit or other financial arrangements between MAEM and Mirant Corporation and copies of such agreements shall have been delivered to the Agent.

  • Delivery Point (a) All Energy shall be Delivered hereunder by Seller to Buyer at the Delivery Point. Seller shall be responsible for the costs of delivering its Energy to the Delivery Point consistent with all standards and requirements set forth by the FERC, ISO-NE, the Interconnecting Utility and any other applicable Governmental Entity and any applicable tariff.

  • Gas If Customer has selected a Gas Fixed Rate, Customer’s Price will be based on the Fixed Rate(s), plus the Administration Charge, set forth in the Application, which includes RITERATE ENERGY’s compressor fuel and transportation charges, administrative and transaction costs and the Gas Balancing Amount and any Regulatory Charges (defined below).
