Loyal and Conscientious Performance. Consultant agrees that to the best of his ability and experience he will at all times loyally and conscientiously perform all of the obligations required of him either expressly or implicitly by the terms of this Agreement.

The Executive shall act at all times in compliance with the written policies, rules, and decisions adopted from time to time by the Company and the Board and perform all of the duties and obligations required of him by this Agreement in a loyal and conscientious manner.

Employee agrees that to the best of his ability and experience, and in compliance with all applicable laws and the Company’s policies, Certificate of Incorporation and Bylaws, as they may be amended from time to time, he will at all times loyally and conscientiously perform all the duties and obligations required of him by the terms of this Agreement. Employee further agrees he shall use his best efforts to promote the interests and reputation of the Company and its affiliates and not do anything which is to the detriment of the Company or its affiliates.
Loyal and Conscientious Performance. During your employment with the Company, you shall devote your full business energies, interests, abilities and productive time to the proper and efficient performance of your duties to the Company; provided that, you shall not be precluded from engaging in civic, charitable or religious activities or from serving on a maximum of one outside board of directors and a reasonable number of industry related boards of directors for business purposes, so long as such participation does not present any conflict of interest with the Company or adversely and materially affect your performance of duties for the Company.
Loyal and Conscientious Performance. During his employment by the Company, Executive will devote his full business employment, interest, abilities and productive time to the proper and efficient performance of his duties under this Agreement. During the Term, Executive may not, directly or indirectly, render services to any other person or organization for which Executive receives compensation without the prior written approval of the President & CEO of the Company. Executive hereby agrees to refrain from engaging in any activity that does, will or could reasonably be deemed to conflict with the best interests of the Company.
Loyal and Conscientious Performance. During his employment with the Company, Executive shall devote sufficient energy, abilities and productive time to the proper and efficient performance of this Agreement necessary to properly carry out the duties of President and Chief Executive Officer. However, it is understood that Executive may serve on other boards of directors from time to time. Executive agrees to notify the Board in writing upon acceptance of an appointment to a Board of Directors of another company.
Loyal and Conscientious Performance. Employee shall act at all times in compliance with the policies, rules and decisions adopted from time-to-time by the Board of Directors of Duke and perform all the duties and obligations required of him by this Agreement in a loyal and conscientious manner.
Loyal and Conscientious Performance. 2.1 During his employment with the Company, EXECUTIVE shall devote sufficient energy, abilities and productive time to the proper and efficient performance of this Agreement necessary to properly carry out the duties of Executive Vice President Chief Financial Officer and Chief Business Officer of the Company.
Loyal and Conscientious Performance. 7.1 During the term of this Employment Agreement, Xx. Xxxx shall devote all of his business time, energy and skills to the affairs of EndoCeutics and use his best efforts to promote the interests of EndoCeutics; provided that, Xx. Xxxx shall not be precluded from (i) engaging in civic, charitable or religious activities which do not present any conflict of interest with EndoCeutics or affect Xx. Xxxx’x performance of duties and functions for EndoCeutics or (ii) assisting or being a member of the Board of Directors of any company which is not a direct competitor of EndoCeutics subject to obtaining prior written consent from EndoCeutics.

During her employment with the Corporation, the Executive shall devote her full energies, interests, abilities and productive time to the proper and efficient performance of her duties under this Agreement. The foregoing shall not preclude the Executive from engaging in civic, charitable or religious activities which will not present any direct conflict of interest with the Corporation or affect the performance of the Executive’s duties hereunder.
