LOOK-BACK ADJUSTMENT. In the event that the Investor makes an adjustment to its investment as provided in Section 2.1(b) of the Securities Purchase Agreement and Exhibit D thereto, the parties hereto mutually agree and covenant that they will vote their Common Stock and Common Stock Equivalents to amend the Restated Articles to adjust the provisions relating to the Series C Preferred Stock and the Series D Preferred Stock in a manner consistent with Exhibit D to the Securities Purchase Agreement.
