Common use of Local Traffic Clause in Contracts

Local Traffic. The Parties shall assume that Local Traffic and ISP Bound Traffic, as provided in Appendix C, routed over the direct Interconnection Facilities, originated by or terminating to the Parties’ end user customers is roughly balanced between the Parties unless traffic studies indicate otherwise. Accordingly, the Parties agree to use a Xxxx-and- Keep Arrangement with respect to termination of Local Traffic and ISP Bound Traffic routed over the Interconnection Facilities. Either Party may request that a traffic study be performed no more frequently than once every twelve months. Should such traffic study indicate, in the aggregate, that either Party is terminating more than sixty (60) percent of the Parties’ total terminated minutes, either Party may notify the other Party, as described in Section 15.9 of this Agreement. Upon receipt of such notice CENTURYLINK will provision direct ISP Bound Traffic trunks as provided in Section 4.3.2 or 4.2.4. If one Party is still terminating over sixty (60) percent of the remaining Local Traffic the Parties will xxxx each other for termination of Local Traffic at the rates as provided in Appendix B.I .

Upon receipt of such notice CENTURYLINK and mutual agreement of the Parties, LEVEL 3 will provision direct ISP Bound Traffic trunks Trunks as provided in Section 4.3.2 or 4.2.4. If one Party is still terminating over sixty (60) percent of the remaining Local Traffic the Parties will xxxx each other for termination of Local Traffic at the rates as provided in Appendix B.I 4.3.2.
