Local Marketing Agreement. Concurrent with the execution of this Agreement, the Seller and Buyer shall execute the Local Marketing Agreement (the "Local Marketing Agreement") which includes the terms and conditions pursuant to which the Buyer will purchase the airtime on the Stations. The accounts receivable of the Station in existence as of the effective date of the Local Marketing Agreement shall be collected pursuant to the terms and conditions of the Local Marketing Agreement.
Local Marketing Agreement. Concurrent with the execution of this Agreement, the Seller and Buyer shall execute the Local Marketing Agreement (the "LMA AGREEMENT"),which includes the terms and conditions pursuant to which the Operating Company will purchase the airtime on the
Local Marketing Agreement. A. If LICENSEE is, or becomes, a party to a Local Marketing Agreement, LICENSEE and the LMA OPERATOR shall execute a letter to SESAC, in the form attached as Exhibit C and made a part of this Agreement, requesting amendment of this Agreement to add the LMA OPERATOR as a party. When such a letter has been fully executed by LICENSEE, the LMA OPERATOR and SESAC, this Agreement shall be deemed amended accordingly.
Local Marketing Agreement. A. If LICENSEE is, or becomes, a party to a Local Marketing Agreement, LICENSEE and the LMA OPERATOR shall execute a letter to SOCIETY, in the form attached as Exhibit C and made a part of this Agreement, requesting amendment of this License Agreement to add the LMA OPERATOR as a party. When such a letter has been fully executed by LICENSEE, the LMA OPERATOR and SOCIETY, this Agreement shall be deemed amended accordingly. By signing Exhibit C, the LMA Operator becomes a party to this Agreement and shall assume, with LICENSEE, all of the rights and obligations set forth in this Agreement for the full period for which the Local Marketing Agreement is in effect.
Local Marketing Agreement. Concurrently with the execution of this Agreement, Citadel and Seller shall execute and deliver a Local Marketing Agreement for the Station in the form of EXHIBIT B attached hereto (the "LOCAL MARKETING AGREEMENT"); provided, however, that the Local Marketing Agreement shall not be effective, and neither party shall have any obligations thereunder, until the later of (a) the date on which all applicable waiting periods under the HSR Act shall have expired or been terminated or (b) the date on which the FCC Approval shall have been obtained.
Local Marketing Agreement. Simultaneously with the execution of this Agreement, Buyer and Seller shall enter into a local marketing agreement substantially in the form of Exhibit B hereto pursuant to which Seller shall make the Stations' broadcasting facilities available to Buyer prior to the Closing (the "LMA"). Upon execution of the LMA, then, notwithstanding any other provisions of this Agreement:
Local Marketing Agreement. In the event the parties cannot close because the FCC Consent is not secured prior to October 1, 1997 and all other conditions for Closing have been fulfilled or waived, the parties shall negotiate in good faith and execute a local marketing agreement ("Local Marketing Agreement") for a term ending upon the Closing (which shall occur within five (5) days of the effective date of the FCC Consent). Upon the execution of the Local Marketing Agreement, the Purchase Price payable to Selling Shareholders hereunder shall be paid in escrow pending the Closing pursuant to a mutually agreeable escrow agreement.
Local Marketing Agreement a time brokerage agreement, local marketing agreement, joint sales agreement, shared services agreement, outsourcing agreement or similar agreement or arrangement. Management Agreement: the management agreement between Holdings and InterMedia Advisors dated March 23, 2011, as the same may be amended, extended, supplemented or otherwise modified (in each case, to the extent otherwise not prohibited hereunder) from time to time.
Local Marketing Agreement. Concurrently with the execution of this Agreement, Citadel and the Company shall execute and deliver a Local Marketing Agreement for the Station in the form of EXHIBIT H attached hereto (the "LOCAL MARKETING AGREEMENT").
Local Marketing Agreement. As of the date hereof, the Parties have executed the Local Marketing Agreement attached as Exhibit D hereto (the "LMA Agreement"), under which Broadcasting will purchase airtime on the Stations pending the closing of the transaction contemplated herein.
