Common use of Local Laws and Regulations Clause in Contracts

Local Laws and Regulations. Merck shall notify Biosite of the existence and content of any mandatory provision of law in each country in the Territory or any other applicable law that conflicts with any provision of the Agreement at the time of its execution or thereafter. Merck shall advise Biosite fully with respect to all regulations, labeling laws, standards, specifications and other requirements imposed by law, regulation or order in any country in the Territory and applicable to the Testing Device and the Reader. Merck promptly shall inform Biosite should, in its opinion, any amendment to the Agreement or any additional agreement be required or be advisable in order to comply with the laws of any country in the Territory, or any subdivision thereof.

Merck MERCK shall notify Biosite BIOSITE of the existence and content of any mandatory provision of law in each country in the Territory TERRITORY or any other applicable law that conflicts with any provision of the Agreement this AGREEMENT at the time of its execution or thereafter. Merck shall MERCK agrees to advise Biosite BIOSITE fully with respect to all regulations, labeling laws, standards, specifications and other requirements imposed by law, regulation or order in any country in the Territory TERRITORY and applicable to the Testing Device and the ReaderPRODUCTS. Merck MERCK agrees to promptly shall inform Biosite BIOSITE should, in its opinion, any amendment to the Agreement or any additional agreement be required or be advisable in order to comply with the laws of any country in the TerritoryTERRITORY, or any subdivision thereof.
