Local Law Requirements. Spain. With respect to Customers domiciled in Spain, in the event of any conflict between any statutory law in Spain applicable to Customer, and the terms and conditions of this Agreement, the applicable statutory law shall prevail.
Local Law Requirements. Italy. With respect to Customers domiciled in Italy, Section 5.2 “Invoicing and Payment”, Section 5.3 “Overdue Charges”, Section 5.4 “Suspension of Service and Acceleration”, and Section 12.2 “Anti Corruption” of this Agreement are replaced with the following sections respectively:

Except as otherwise specifically provided herein, each party shall at their own expense in their respective countries, take such steps as may be required to satisfy any Laws or requirements with respect to declaring, filing, recording or otherwise rendering the Agreement valid.

Local Law Requirements. Where required by the applicable Governing Law set forth above, this Agreement is varied in accordance with this Section 16.2. In the event of a conflict between this Section and any other portion of this Agreement, this Section shall control.
Local Law Requirements. If Customer obtains Qlik Products from (i) QlikTech GmbH and designates an address in Austria or Germany in an Order Form, (ii) QlikTech Australia Pty Ltd and designates an address in Australia in an Order Form, or (iii) Qlik Netherlands B.V. and designates an address in the Russian Federation, then the terms of Addendum 1 shall be applicable and shall supersede any conflicting terms in the Agreement.

Appendix A forms part of the Agreement and contains additional terms and conditions that will apply to you if you reside outside of the United States, are a citizen of a jurisdiction other than the United States or are otherwise subject to tax in jurisdiction outside the United States.
