Loans as Described. The information set forth in the Loan Schedule, the Undocumented Loan Schedule and the Wet Loan Schedule, as applicable, with respect to the Loan is complete, true and correct in all material respects.
Loans as Described. The information set forth in the Custodial Mortgage Loan Schedule (including information contained under each heading in the Custodial Mortgage Loan Schedule) annexed to the related Transaction Request and the information contained on each Asset Data Record delivered to the Buyer is complete, true and correct; and such Custodial Mortgage Loan Schedule contains at least all of the fields indicated in the Custodial Mortgage Loan Schedule definition set forth in this Agreement. In addition, the data on such Custodial Mortgage Loan Schedule correctly and accurately reflects the most current data (except for information specified to be as of the origination date of the Mortgage Loan) in the Guarantor’s records and the originator’s records, if the Guarantor is not the originator (including, without limitation, the Mortgage Loan File). With respect to each Mortgage Loan, any seller or builder concession in excess of the allowable limits established by Xxxxxx Xxx or Freddie Mac and the Underwriting Guidelines, in each case and applicable at the time of origination, has been subtracted from the appraised value of the Mortgaged Property for purposes of determining the LTV and CLTV. With respect to each Mortgage Loan and as of the Effective Date, the most recent FICO Score listed on the Custodial Mortgage Loan Schedule was no more than four (4) months old. As of the date of funding of the Mortgage Loan to the Mortgagor, no Appraisal or other property valuation listed on the Custodial Mortgage Loan Schedule was more than four (4) months old.
Loans as Described. (a) Seller shall deliver to Buyer three days prior to closing and on the day of closing magnetic computer tapes ("the Data Tapes"), which shall include all fields of information pertinent to the Loans. The information on the Data Tapes with respect to the loans will be true, accurate and correct as of the respective delivery dates.

Loans as Described. As of the Sale Date, the information set forth in the Mortgage Loan Schedule is complete, true and correct, and the Servicing conforms to the description in Exhibit A. Except as identified in the Mortgage Loan Schedule, none of the Mortgage Loans are VA vendee loans. As of the Sale Date, none of the Mortgage Loans are the subject of nonstandard escrow arrangements. Except as set forth on the Mortgage Loan Schedule none of the Mortgage Loans will contain provisions for graduated payment mortgages, shared appreciation or contingent interest features, or interest rate buydowns wherein monthly payments are paid or partially paid with funds deposited in a separate account established by the Seller, the Borrower or anyone on behalf of the Borrower, or paid by any source other than the Borrower. Any Mortgage Loan identified as a buydown loan on the Mortgage Loan Schedule is subject to a buydown agreement which complies with the provisions of the applicable Agency Requirements and such buydown account is fully funded. Except as set forth in Exhibit A, FNMA MBS Servicing operates under standard FNMA MBS remittance procedures as set forth in the FNMA Seller/Servicer Guide, and is not FNMA Express or RPM. Except as set forth in Exhibit A, FHLMC ARC Servicing operates under standard FHLMC ARC remittance procedures as set forth in the FHLMC Seller/Servicer Guide, and is not FHLMC Super ARC.

  • Financial Statements; Undisclosed Liabilities The financial statements of Pacesetter Home Care Group, Inc., HCI's predecessor, for the year ended December 31, 1996 and the consolidated financial statements of HCI for the period ended June 30, 1997, each of which have previously been provided to ALC, have been prepared in accordance with generally accepted accounting principles ("GAAP") (except that the unaudited statements exclude ---- footnotes) applied on a consistent basis during the periods involved (except as may be indicated in the notes thereto) and fairly presented, in accordance with the applicable requirements of GAAP, the consolidated financial position of HCI (or its predecessor) as of the dates thereof and the consolidated results of operations and cash flows for the periods then ended (subject, in the case of unaudited statements, to normal year-end audit adjustments). Except (i) as disclosed in Section 3.6 of the disclosure schedule of HCI delivered to ALC concurrently herewith (the "HCI Disclosure Schedule"), (ii) for those ----------------------- liabilities that are fully reflected or reserved against on the consolidated balance sheet of HCI included in its financial statements for the period ended June 30, 1997, and (iii) for liabilities incurred in the ordinary course of business consistent with past practice since June 30, 1997, neither HCI nor any of its Subsidiaries has incurred any liability of any nature whatsoever (whether absolute, accrued, contingent or otherwise and whether due or to become due) that, either alone or when combined with all other liabilities incurred since June 30, 1997, has had, or would reasonably be expected to have, a Material Adverse Effect on HCI. On September 30, 1997, the outstanding indebtedness of HCI and its Subsidiaries did not exceed $5.7 million. The books and records of HCI and its Subsidiaries have been, and are being, maintained in all material respects in accordance with GAAP and any other applicable legal and accounting requirements and reflect only actual transactions.

  • Schedule of Filings Attached hereto as Schedule 6 is a schedule setting forth, with respect to the filings described in Section 5 above, each filing and the filing office in which such filing is to be made.

  • Compliance Certificate; Statements as to Defaults The Company shall deliver to the Trustee within 120 days after the end of each fiscal year of the Company (beginning with the fiscal year ending on December 31, 2020) an Officer’s Certificate stating whether the signers thereof have knowledge of any failure by the Company to comply with all conditions and covenants then required to be performed under this Indenture and, if so, specifying each such failure and the nature thereof. In addition, the Company shall deliver to the Trustee, as soon as possible, and in any event within 30 days after the occurrence of any Event of Default or Default, an Officer’s Certificate setting forth the details of such Event of Default or Default, its status and the action that the Company is taking or proposing to take in respect thereof.

  • Transactions Requiring Disclosure to FINRA 2.17.1 Finder’s Fees. There are no claims, payments, arrangements, agreements or understandings relating to the payment of a finder’s, consulting or origination fee by the Company or any Insider with respect to the sale of the Securities hereunder or any other arrangements, agreements or understandings of the Company or to the Company’s knowledge, assuming reasonable inquiry, any Insider that may affect the Underwriters’ compensation, as determined by FINRA.
