Litigation and Claims. There is no action, suit, claim, proceeding, arbitration or investigation pending or, to the knowledge of the Buyer, threatened against or affecting the Buyer with respect to the propriety or validity of the transactions contemplated hereby.

There is no actionclaim, prosecution, suit, claimaction, arbitration, proceeding, arbitration investigation or investigation review pending or, to the knowledge of the BuyerPurchaser, threatened against the Purchaser, any of its Subsidiaries or affecting any of their respective properties or assets which questions the Buyer with respect to the propriety or validity of this Agreement, the Settlement Agreement or any action taken or to be taken pursuant hereto or thereto, or which is reasonably likely to have a material adverse effect on the transactions contemplated herebyby this Agreement or the Settlement Agreement.

There is no action, claim, demand, suit, claimjudicial, administrative or governmental proceeding, arbitration arbitration, grievance, citation, summons, subpoena, inquiry or investigation of any nature, civil, criminal, regulatory or otherwise, in law or in equity, pending or, to the knowledge of the Buyer, threatened against or affecting the Buyer with respect relating to the propriety or validity of the transactions contemplated herebyby this Agreement, and Buyer does not know of any basis for the same.
