Common use of Limited Disclosure Clause in Contracts

Limited Disclosure. If, in the absence of such a protective order, confidential treatment request, other remedy or waiver by the Disclosing Party, the Receiving Party is nonetheless required to disclose any part of the Disclosing Party’s Confidential Information or any material terms or conditions of this Agreement, the Receiving Party may disclose such Confidential Information or material terms or conditions without liability under this Agreement, except that the Receiving Party shall furnish only that portion of the Confidential Information or material terms or conditions that is legally required.

Limited Disclosure. If, in the absence of such a protective order, confidential treatment request, other remedy or waiver by the Disclosing Party, the Receiving Party is nonetheless required to disclose any part of the Disclosing Party’s Confidential Information or any material terms or conditions of this Agreement, the Receiving Party may disclose such Confidential Information or material (including the terms or conditions without liability under of this Agreement), except that the Receiving Party shall furnish only that portion of the Confidential Information or material (including the terms or conditions of this Agreement) that is legally required; provided that if this Agreement is required to be publicly filed, the Parties shall reasonably agree on a redacted version to be publicly filed.
