Common use of Lien Searches Clause in Contracts

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of relevant jurisdiction with respect to the jurisdictions where assets of the Loan Parties are locatedBorrower and its Subsidiaries, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or its Subsidiaries except for liens permitted by Section 6.02 6.3 or liens to be discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent customary lien search in each of the jurisdictions where assets of the Loan Parties are locatedsearches, and such search searches shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties are locatedParties, and such search shall reveal no liens on any of the assets of the Loan Parties Party, except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent7.3.

The Administrative Agent shall have received the results of a recent lien search in the jurisdiction of organization of each of the jurisdictions Loan Party and each jurisdiction where assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off payoff letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in the central filing office (and, to the extent requested by the Administrative Agent, the local filing offices) of each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties Eligible Unencumbered Assets except for liens permitted by Section 6.02 Permitted Encumbrances and Permitted Equipment Liens or Liens discharged or to be discharged on or prior to the Effective Date (or to secure Refinancing Mortgages) pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions jurisdiction where assets of the Loan Parties are organized and where the assets constituting a material portion of the Collateral are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties Parties, except for Permitted Liens or liens permitted by Section 6.02 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien and judgment search in each of the jurisdictions where assets of Holdings the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of Holdings or the Loan Parties Parties, except for Permitted Liens, liens permitted by Section 6.02 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of reasonably requested by the Loan Parties are locatedAdministrative Agent, and such search searches shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search with respect to each Loan Party in the jurisdiction where each of the jurisdictions where assets of the such Loan Parties are Party is located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 8.3 or discharged on substantially concurrently with or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties (other than the Dutch Loan Parties) are located, and such search report shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Restatement Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 6.2 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter the Plan of Reorganization or other pursuant to documentation satisfactory to the Administrative Agent.

The Administrative Agent or the Collateral Agent shall have received the results of a recent lien search in each of the jurisdictions where the Loan Parties are organized or where assets of the Loan Parties are locatedlocated (to the extent such lien searches are available in such jurisdictions), and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 7.13 or discharged on or prior to the Restatement Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien lien, tax and judgment search in each of the jurisdictions and offices where assets of the Loan Parties are locatedlocated or recorded, and such search shall reveal no liens Liens on any of the assets of the Loan Parties Holdings or its Subsidiaries except for liens Liens permitted by Section 6.02 or discharged on or subsection 7.3 and Liens that will be removed prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative AgentClosing Date.

Lien Searches. The Term Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Term Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties and Toastmaster and its Subsidiaries are located, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or its Subsidiaries, or Toastmaster or its Subsidiaries, except for liens permitted by Section 6.02 or discharged on or prior 7.3 and liens to the Effective Date be terminated pursuant to a pay-off letter or other documentation satisfactory to the Administrative Syndication Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties are locatedParties, and such search shall reveal no liens on any of the assets of the Loan Parties Party, except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent6.3.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in all appropriate jurisdictions (including the jurisdiction of formation or organization of each of the jurisdictions where assets of the Loan Parties are locatedGroup Member), and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of jurisdiction where the jurisdictions Loan Parties are organized and where the assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or subject to satisfactory estoppel letters discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties Borrowers or their Subsidiaries except for liens permitted by Section 6.02 7.3 or liens to be discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Syndication Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search searches in each of the jurisdictions where assets any of the Loan Parties are locatedis formed or organized and intellectual property searches with the USCRO and USPTO, and such search searches shall reveal no liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 7.3 or Liens to be discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative AgentClosing Date.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties (other than the Dutch Loan Parties) are located, and such search report shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the such jurisdictions where assets of the Loan Parties are locatedas it may have requested, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Second Amendment and Restatement Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have has received the results of a recent lien search in the jurisdiction of organization of each of the jurisdictions where assets of the Loan Parties are locatedParty, and such search shall reveal reveals no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search report shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Third Restatement Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search (or, where not available, such other equivalent information available and reasonably satisfactory to the Administrative Agent) in each of the material domestic jurisdictions where assets of the Loan Parties are located, and such search (or equivalent information) shall reveal no liens on any of the assets of the Loan Parties Borrower or its Subsidiaries except for liens permitted by Section 6.02 subsection 7.1 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 6.3 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the such jurisdictions where assets of the Loan Parties are locatedas it may have requested, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Amendment Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien Lien search in each of the domestic jurisdictions where assets (x) the Loan Parties are organized and (y) real estate of the Loan Parties are is located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 6.03 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search searches in each of the jurisdictions where assets any of the Loan Parties are locatedis formed or organized, and such search searches shall reveal no liens on any of the assets of the Loan Parties except for liens Liens expressly permitted by Section 6.02 7.3, or Liens to be discharged on or prior to the Effective Closing Date, or Liens securing obligations of the Group Members under the Existing Credit Facility, which Liens shall be discharged substantially contemporaneously with the Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative AgentPayoff Letter.

The Administrative Agent shall have received the results of a recent lien search in each jurisdiction where the Loan Parties are organized and where a material portion of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or to be discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search of the Borrowers, certain of the other material Loan Parties in each of the jurisdictions where assets of the such Loan Parties are located, and such search shall reveal no liens on any of the assets of the such Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in the jurisdiction of organization of each of the jurisdictions Loan Party and each jurisdiction where assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 and financing statements to be terminated or discharged on subordinated at or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative AgentDate.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties Holdings or its Subsidiaries except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent7.3.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or its Subsidiaries except for (i) Permitted Liens, (ii) liens permitted by Section 6.02 to be discharged or discharged assigned to the Collateral Agent on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative AgentAgents or (iii) liens which in the aggregate are reasonably determined by the Agents to be immaterial.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted or created by Section 6.02 the Loan Documents or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where the Loan Parties and assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent Uniform Commercial Code lien search in each from the Secretary of State of the jurisdictions jurisdiction of organization of each Loan Party, the location of the principal balance of business of each Loan Party and each jurisdiction where material assets of the any Loan Parties Party are located, located and such search searches shall reveal no liens on any of the their respective assets of the Loan Parties except for liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in the central filing office (and, to the extent reasonably requested by the Administrative Agent, the local filing offices) of each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in the jurisdiction where each of the jurisdictions where assets of the Loan Parties are located, Party is organized and such search shall reveal no liens Liens on any of the assets of the any Loan Parties Party or any assets being transferred to any Loan Party except for liens Liens permitted by Section 6.02 6.2 and under the Receivables Facility Transaction Documents, as applicable, or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets Uniform Commercial Code records of the Loan Parties are locatedeach jurisdiction and office identified on Schedule 3.15, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search searches in each of the jurisdictions where assets of the Loan Parties are located, and such search searches shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in the jurisdiction of organization of each of Loan Party and each jurisdiction where the jurisdictions where assets chief executive offices of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 this Agreement or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where the assets of the Loan Parties Borrowers are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties Borrowers except for liens those Liens permitted by Section 6.02 6.13 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation document reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search report in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties Parties, except for liens permitted by Section 6.02 Permitted Liens or Liens discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent..
