Licensing to Customers. 10.1. You, not JetBrains or the Reseller, license your Plugins and Plugin Information to Customers and, if applicable, to JetBrains Resellers’ customers. You must provide your own end user license agreement ("Developer XXXX") with any Plugin you make available via JetBrains Marketplace. However, your Developer XXXX must comply with the terms and conditions of this Agreement and applicable laws, must not impose liability on JetBrains or its Affiliates or Resellers greater than as set out in this Agreement, and must not make JetBrains part of the Developer XXXX. In the event of any conflict between the Developer XXXX and this Agreement, this Agreement takes precedence. The Standard XXXX cannot be used instead of your Developer XXXX unless you make the necessary modifications to adjust it to your needs. The Developer XXXX must specify, among other things, that you are the licensor of your Plugins and that JetBrains is not a party to the Developer XXXX and is not responsible for or liable to Customers or Resellers’ customers in any way. You agree that JetBrains does not and will not have any responsibility or liability related to compliance or non‐compliance by you or any end user under a Developer XXXX, and you will indemnify JetBrains from any damage arising from breach of your obligations stipulated in this clause. You are responsible for ensuring that the Developer XXXX is compatible with this Agreement and with the requirements it sets for Plugins and you are solely liable for any damages arising from not complying with this obligation.

  • License to Customer Vendor grants to Customer, a perpetual, irrevocable, royalty free license, solely for the Customer’s internal business purposes, to use, copy, modify, display, perform (by any means), transmit and prepare derivative works of any Vendor IP embodied in or delivered to Customer in conjunction with the Work Product. The foregoing license includes the right to sublicense third parties, solely for the purpose of engaging such third parties to assist or carryout Customer’s internal business use of the Work Product. Except for the preceding license, all rights in Vendor IP remain in Vendor.

  • License; Use Upon delivery to an Authorized Person or a person reasonably believed by Custodian to be an Authorized Person of the Fund of software enabling the Fund to obtain access to the System (the “Software”), Custodian grants to the Fund a personal, nontransferable and nonexclusive license to use the Software solely for the purpose of transmitting Written Instructions, receiving reports, making inquiries or otherwise communicating with Custodian in connection with the Account(s). The Fund shall use the Software solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to the Fund with respect to the Software. The Fund shall not take any action with respect tot the Software inconsistent with the foregoing acknowledgement, nor shall the Fund attempt to decompile, reverse engineer or modify the Software. The Fund may not xxx, sell, lease or provide, directly or indirectly, any of the Software of any portion thereof to any other person or entity without Custodian’s prior written consent. The Fund may not remove any statutory copyright notice or other notice included in the Software or on any media containing the Software. The Fund shall reproduce any such notice on any reproduction of the Software and shall add any statutory copyright notice or other notice to the Software or media upon Custodian’s request.

  • End User An “End User” is you, an individual or entity, which receives the Models from Licensee or Authorized Licensee User pursuant to this End User Agreement to use in the regular course of your affairs, but not for resale, modification, distribution or exploitation by third parties without AnyLogic’s prior written consent.
