LICENSING AND REGULATORY REQUIREMENTS. 7.1. TODOS hereby undertakes to sell and distribute the Products in accordance with applicable laws and regulations with respect to each state, region, nation or multinational jurisdiction in the Territories and to hold all the local approvals, licenses, registrations or authorizations necessary in connection with the Products and the marketing and sale thereof in the Territories and, where relevant, pricing approvals necessary to obtain reimbursement from government authorities or insurance providers (“Regulatory Requirements”). Without derogating from the above, PCL will use commercially reasonable efforts to aid and support TODOS to meet all the necessary Regulatory Requirements in the Territories.

LICENSING AND REGULATORY REQUIREMENTS. The Pharmacy shall be licensed under the Company's name and shall obtain its own Medicare and Medicaid provider numbers. Subject to the Company's prior review and approval of applications and other filings, Manager will prepare and file on behalf of the Company and otherwise assist the Company in obtaining and maintaining such licenses, certifications and permits as are required by local, state and federal laws and regulations in connection with the operation of the mail order Pharmacy throughout the United States. Manager will render Pharmacy services and, if the Pharmacist-in-Charge is leased by the Company from Manager, Manager will cause the Pharmacist-in-Charge to render his or her services, at all times in compliance with all applicable statutes, regulations, rules and directives of federal, state and other governmental authorities having jurisdiction over Manager and the Company and in compliance with the policies and regulations of the Company and all currently accepted and approved practices of providing pharmacy services. Manager represents and warrants that, subject to the Company's receipt of the proper licenses and filing of proper applications and other filings (which Manager will prepare and file in accordance with this Section 12), to Manager's best knowledge as of the date hereof, the transactions contemplated by this Agreement will be in compliance with all applicable local, state and federal laws and regulations.
LICENSING AND REGULATORY REQUIREMENTS. Consultant hereby covenants and agrees to use its best efforts to comply and to cause each of its directors, officers, partners, members and employees (each an "AFFILIATE") to comply with the requirements of all Acts to the extent the Acts apply. Consultant shall complete and submit to the Company, and shall cause its Affiliates to complete and submit to the Company, background investigation consent forms and shall supply such further information as may be reasonably necessary for Company to meet its obligations under Company's Compliance Plan. If any Commission requests that Consultant or any Affiliate (i) provide information to, (ii) file an application with, (iii) respond to written or oral questions, (iv) cooperate in a background investigation, (v) appear before such Commission, or (vi) comply with any other request, Consultant agrees to use its best efforts to comply fully, and to cause each Affiliate to comply fully, with such request. Consultant hereby agrees to promptly provide the Company with written notice of any Commission request and to keep the Company informed of the status of all such requests and actions taken in response thereto. By entering the Agreement, Consultant hereby represents and warrants that neither Consultant nor any Affiliate has been found unsuitable or denied any license or approval by any Commission. In the event that Consultant has been found unsuitable or has been denied any license or approval, prior approval of each Commission is required before the Agreement can be effective.   • Regulatory Requirements Each Party’s obligations under this Agreement shall be subject to its receipt of any required approval or certificate from one or more Governmental Authorities in the form and substance satisfactory to the applying Party, or the Party making any required filings with, or providing notice to, such Governmental Authorities, and the expiration of any time period associated therewith. Each Party shall in good faith seek and use its Reasonable Efforts to obtain such other approvals. Nothing in this Agreement shall require Developer to take any action that could result in its inability to obtain, or its loss of, status or exemption under the Federal Power Act or the Public Utility Holding Company Act of 2005 or the Public Utility Regulatory Policies Act of 1978, as amended.

  • Compliance with Regulatory Requirements Upon demand by Lender, Borrower shall reimburse Lender for Lender’s additional costs and/or reductions in the amount of principal or interest received or receivable by Lender if at any time after the date of this Agreement any law, treaty or regulation or any change in any law, treaty or regulation or the interpretation thereof by any Governmental Authority charged with the administration thereof or any other authority having jurisdiction over Lender or the Loans, whether or not having the force of law, shall impose, modify or deem applicable any reserve and/or special deposit requirement against or in respect of assets held by or deposits in or for the account of the Loans by Lender or impose on Lender any other condition with respect to this Agreement or the Loans, the result of which is to either increase the cost to Lender of making or maintaining the Loans or to reduce the amount of principal or interest received or receivable by Lender with respect to such Loans.   • Clinical Data and Regulatory Compliance The preclinical tests and clinical trials, and other studies (collectively, “studies”) that are described in, or the results of which are referred to in, the Registration Statement or the Prospectus were and, if still pending, are being conducted in all material respects in accordance with the protocols, procedures and controls designed and approved for such studies and with standard medical and scientific research procedures; each description of the results of such studies is accurate and complete in all material respects and fairly presents the data derived from such studies, and the Company and its subsidiaries have no knowledge of any other studies the results of which are inconsistent with, or otherwise call into question, the results described or referred to in the Registration Statement or the Prospectus; the Company and its subsidiaries have made all such filings and obtained all such approvals as may be required by the Food and Drug Administration of the U.S. Department of Health and Human Services or any committee thereof or from any other U.S. or foreign government or drug or medical device regulatory agency, or health care facility Institutional Review Board (collectively, the “Regulatory Agencies”); neither the Company nor any of its subsidiaries has received any notice of, or correspondence from, any Regulatory Agency requiring the termination, suspension or modification of any clinical trials that are described or referred to in the Registration Statement or the Prospectus; and the Company and its subsidiaries have each operated and currently are in compliance in all material respects with all applicable rules, regulations and policies of the Regulatory Agencies.
