Common use of Licenses; Permits Clause in Contracts

Licenses; Permits. To the Knowledge of the Sellers, all material governmental licenses, permits or authorizations of the Company are validly held by the Company, the Company has complied in all material respects with all requirements in connection therewith and the same will not be subject to suspension, modification or revocation as a result of this Agreement or the consummation of the transactions contemplated hereby, except as set forth on Schedule 3.13. To the Knowledge of the Sellers, the Company has all of the governmental licenses, permits or authorizations which are required to carry on the Company's business as such business is now conducted, except for such licenses, permits or authorizations the failure to obtain which would not have a Material Adverse Effect.
