Licensed Trademark. The Licensed Trademarks and the goodwill ------------------ associated therewith are and shall be the exclusive property of SCEA or Affiliates of SCEA. Nothing herein shall give Publisher any right, title or interest in or to any of the Licensed Trademarks or any other trademarks of SCEA, other than the non-exclusive licensed provided herein. Publisher shall not do or cause to be done any act or thing in any way impairing or tending to impair or dilute any of SCEA's rights, title or interest in or to any of the Licensed Trademarks or any other trademarks of SCEA, nor shall Publisher register any trademark in its own name or in the name of any other person or entity, or obtain right to employ Internet domain name or addresses, which are similar to or are likely to be confused with any of the Licensed Trademarks or any other trademarks of SCEA.
Licensed Trademark. 8.1.1 The Licensed Product will be marketed in the Territory under the Licensed Trademark. SCRAS shall be responsible for securing and for maintaining registrations for the Licensed Trademark in the Territory and shall use reasonable commercial efforts in that regard, provided, however, that SCRAS shall not be deemed to have breached this Agreement if it is unable to obtain registration of the Licensed Trademark in every country in the Territory. In the event, despite its reasonable commercial efforts, SCRAS is unable to obtain or maintain registrations for the Licensed Trademark in some country (ies) in the Territory, SCRAS and Licensee shall negotiate in good faith concerning the use of such other trademarks as may be available for marketing the Licensed Product in those countries.

Licensed Trademark. The only trademark that has been used by the parties pursuant to the provisions of Section III(A)(2) of the Marketing Rights Agreement is GPI Holdings' GLIADEL trademark.
Licensed Trademark. Effective as of the Closing, Seller hereby grants to the Company a worldwide, non-exclusive, non-transferable, royalty-free license to use and reproduce the Seller trademark “GETJAR” (the “Licensed Trademark”) solely during the Trademark License Term (as defined below); provided, that, the Company’s license to the Licensed Trademark shall be limited to activities that are consistent with the Company’s usage of the Licensed Trademark (in terms of scope, nature and quality) as it has made prior to the Closing.

Licensed Trademark. Without limiting the generality of Sections 4.5, 4.9 and 10.3, (a) Sandoz shall not directly or indirectly (i) alter, modify, dilute or otherwise misuse the Licensed Trademark, (ii) bring the Licensed Trademark into disrepute, (iii) Commercialize any damaged Products or seconds bearing the Licensed Trademark or (iv) counsel, procure or assist anyone else to do any of the foregoing, (b) Sandoz shall (i) affix the trademark notice (TM) or (®) next to the Licensed Trademark on the Products as instructed by KLOX from time to time, and (ii) ensure that any and all direct or indirect use of the Licensed Trademark by Sandoz is restricted to the Commercialization of the Products in accordance with the terms and conditions of this Agreement, and (c) Sandoz acknowledges that any material and deliberate use or attempted use of the Licensed Trademark in violation of any of the foregoing without the prior written consent of KLOX will be invalid and constitute a material breach of this Agreement.
Licensed Trademark. The term "Licensed Trademark" shall mean Estradot((TM)) together with such variations and similar marks that Noven may approve for Novartis to use in connection with products supplied by Noven to Novartis.
Licensed Trademark. DURECT hereby grants to SANDOZ a fully-paid, exclusive license to use the Licensed Trademark for the Commercialization of Product for the Field in the Licensed Territory in accordance with this Agreement. During the Term, DURECT shall not use (or license to a Third Party or Affiliate) the Licensed Trademark in connection with any product other than Product. SANDOZ shall have the right to exercise such license through its Affiliates and Sublicensees, provided that SANDOZ shall be responsible for the failure by its Affiliates and Sublicensees to comply with the terms of this Agreement including all relevant restrictions, limitations and obligations. DURECT shall own all right, title and interest in and to the Licensed Trademark and all goodwill from the use of the Licensed Trademark shall vest in and inure to the benefit of DURECT.
