Licensed Technical Information. The conception, development and reduction to practice of Cosmo Licensed Technical Information after the Effective Date will not constitute or involve the misappropriation of trade secrets or other rights or property of any Person.

Licensed Technical Information. (a) The Parties acknowledge that certain of IUT’s work under this Agreement will be based on intellectual property owned by HSDC as described in Section 2.01, above (“HSDC Licensed Technical Information”). Subject to the provisions of this Agreement, for the duration of the Development Period, HSDC hereby grants to IUT a personal, non-transferable, worldwide and non-exclusive license (without any right to sublicense) to the HSDC Licensed Technical Information for the purposes of performing the Development Project, as defined in the Statements of Work, and for no other purpose.

All information, experience, data and know-how which is not generally known including, but not limited to, formulae, procedures, protocols, techniques and results of experimentation and testing which are necessary or useful for the ownership and/or exploitation of the Defined Intellectual Property and the Cell Lines Technology but only in the Agreed Field.

Licensed Technical Information. Lucent grants to the Relevant Licensee a ------------------------------ fully paid-up, worldwide, irrevocable, non-transferable (except as provided in Article XII) and nonexclusive license to use Licensed Technical Information in connection with the manufacture, use, sale, offer for sale, lease, license and importation of Licensed Products under any and all copyright, trade secret and other intellectual property rights included in such Licensed Technical Information owned by Lucent and in which Lucent or its Related Companies have a right to license as of the Effective Date including, without limitation, the right for the Relevant Licensee and its Related Companies to modify and create Derivative Works from such Licensed Technical Information. Such license does not include a license under any patents; any such license under any such patents being specifically set forth in Article VII.
Licensed Technical Information. The term "Licensed Technical Information" shall mean (i) Technical Information as defined in the Co-Development Agreement, based upon or solely related to animal health applications, and (ii) unencumbered published or unpublished confidential and proprietary information in the nature of research and development information, knowledge and technical data, together with trade secrets relating to the Licensed Technology, including any inventions in the possession of or belonging solely to Bioenvision on or prior to the effective date of this Agreement which Bioenvision has the obligation to include in this Agreement, or which comes into the possession of Bioenvision during the term of this Agreement. Licensed Technical Information shall include herein only that Licensed Technical Information which is reasonably necessary for Dechra's practice of the Licensed Inventions or without which such practice would constitute an infringement of Bioenvision's rights. Licensed Technical Information includes only the above information which is developed by or on behalf of Bioenvision or Stegram, or is generated pursuant to research funded, in whole or in part, by Bioenvision.
Licensed Technical Information. Bioenvision agrees to provide Dechra, promptly after the execution of this Agreement by all parties and thereafter during the term of this Agreement, copies of such documentation as Bioenvision has in its possession from time to time relating to the Licensed Technical Information.
