Licensed Technical Information. (a) The Parties acknowledge that certain of IUT’s work under this Agreement will be based on intellectual property owned by HSDC as described in Section 2.01, above (“HSDC Licensed Technical Information”). Subject to the provisions of this Agreement, for the duration of the Development Period, HSDC hereby grants to IUT a personal, non-transferable, worldwide and non-exclusive license (without any right to sublicense) to the HSDC Licensed Technical Information for the purposes of performing the Development Project, as defined in the Statements of Work, and for no other purpose. (b) The Parties acknowledge that certain of IUT’s work under this Agreement will be based on intellectual property owned or to be developed by IUT (“IUT Licensed Technical Information”). Subject to the provisions of this Agreement, IUT hereby grants to HSDC a personal, worldwide and non-exclusive license (without any right to sublicense) to the IUT Licensed Technical Information to the extent any such IUT Licensed Technical Information is incorporated into or is useful with any Developed Product. (c) The HSDC Licensed Technical Information and the IUT Licensed Technical Information are collectively referred to herein as the Licensed Technical Information. (d) Licenses granted pursuant to Sections 2.04(a)(b) and (c) are not to be construed either (i) as consent by the licensor to any act which may be performed by the licensee, except to the extent impacted by a patent licensed herein to the licensee, or (ii) to include licenses to contributorily infringe or induce infringement under U.S. law or a foreign equivalent thereof.
Licensed Technical Information. All Technology and Designs related to the manufacture, marketing, sale and/or use of the Products.

As used in this Section 1.21.2 and in Sections 1.23, 1.32 and 1.41 below, information, data or materials shall be deemed generated by MG “in collaboration” with a Non-Cancer Partner only if such information, data or materials is generated in the course of Research directly solely to non-cancer indications that: (a) is conducted pursuant to an agreement with such Non-Cancer Partner in compliance with this Agreement, (b) is funded initially at least […***…] percent ([…***…]%) by such Non-Cancer Partner and continues to be funded in whole or in part by such Non-Cancer Partner over the entire course of such Research, and (c) is not conducted by MG medicinal chemists who are involved in Cancer HDAC Research, and provided that (d) MG personnel do not disclose to the Non-Cancer Partner, nor use in the Research “in collaboration” with the Non-Cancer Partner, any Data from Cancer HDAC Research (other than those items set forth in part 1.41B of Exhibit 1.41).”
Licensed Technical Information. The term "Licensed Technical Information" shall mean (i) Technical Information as defined in the Co-Development Agreement, based upon or solely related to animal health applications, and (ii) unencumbered published or unpublished confidential and proprietary information in the nature of research and development information, knowledge and technical data, together with trade secrets relating to the Licensed Technology, including any inventions in the possession of or belonging solely to Bioenvision on or prior to the effective date of this Agreement which Bioenvision has the obligation to include in this Agreement, or which comes into the possession of Bioenvision during the term of this Agreement. Licensed Technical Information shall include herein only that Licensed Technical Information which is reasonably necessary for Dechra's practice of the Licensed Inventions or without which such practice would constitute an infringement of Bioenvision's rights. Licensed Technical Information includes only the above information which is developed by or on behalf of Bioenvision or Stegram, or is generated pursuant to research funded, in whole or in part, by Bioenvision.
