Common use of Licensed Patents Clause in Contracts

Licensed Patents. (1) Licensor shall have the right to, and shall use reasonable endeavors to, file, prosecute and maintain all Licensed Patents in the Licensee Territory, at Licensor’s own cost and expense. For the purpose of this Article 8, “prosecution” shall include any post-grant proceeding including patent interference proceeding, opposition proceeding and reexamination.

Licensed Patents. (1) Licensor shall have the first right to, and shall use reasonable endeavors to, file, prosecute and maintain all Licensed Patents in the Licensee Territory, at Licensor’s own cost and expense. For the purpose of this Article 810 (Intellectual Property Rights), “prosecution” shall include any post-grant proceeding including patent interference proceeding, opposition proceeding and reexamination.

Licensed Patents. (1a) As between the Parties, Licensor shall have the right tofirst right, and shall use reasonable endeavors tobut not the obligation, to prepare, file, prosecute and maintain all the Licensed Patents Patents, including directing any related interference, re-issuance, re-examination and opposition proceedings with respect thereto, worldwide, in the Licensee Territoryeach case, at its sole cost and expense and through counsel of its choice. Licensee shall use Commercially Reasonable Efforts, consistent with Applicable Law, to make employee inventors available to Licensor for consultation from time to time to facilitate Licensor’s own cost and expense. For prosecution of the purpose of this Article 8, “prosecution” shall include any post-grant proceeding including patent interference proceeding, opposition proceeding and reexaminationLicensed Patents.
