License Transfer. This Agreement is non-transferable and non-assignable by LICENSEE without the prior written consent of ELITE. ELITE will consider approval of transfer of this license upon receipt of the following documents from LICENSEE: a) the “Request to Transfer Software License and Integrated License Agreement” signed by BOTH the LICENSEE and the new licensee, and b) a non- refundable transfer fee of $200.00, plus payment for any outstanding balances. If the transfer is NOT approved by ELITE, LICENSEE is still the responsible party under this Agreement.
