License to Use SPC Software Sample Clauses

License to Use SPC Software. SPC grants Client a non-exclusive, non-transferable license to use SPC software solely as provided herein. Title to SPC software and updates shall remain the sole property of SPC, including all patents, copyrights, and trademarks. Client shall not share, sell, exchange, or transfer the SPC software to others. Client shall not copy, modify, translate, decompile, reverse engineer, disassemble or to a human readable form, or adapt, the SPC software or use it to create a derivative work, unless authorized in writing by an officer of SPC. SPC is entitled to immediate injunctive relief for threatened breaches of these undertakings.
