License Maintenance. In the event Client requires additional third-party software user licensing, Client shall contact such third-party software provider to acquire a new license key. Client shall be responsible for negotiating the terms of such licenses and paying for the increased number of licenses. THE PARTIES HEREBY ACKNOWLEDGE that they have read and understand the provisions of this Service Appendix and agree to be bound by all of the provisions, terms, and conditions specified herein.
License Maintenance. You agree to maintain for Station such licenses, including performing rights licenses as now are or hereafter may be in general use by television broadcasting stations and necessary for you to broadcast the television Programs which we furnish to you hereunder. Network will continue to clear all music in the repertory of ASCAP, SESAC and of BMI used in our Network Programs, thereby licensing the broadcasting of such music in such Programs over Station. You will be responsible for all music license requirements for any commercial or other material inserted by you within or adjacent to our Network Programs in accordance with this Agreement.
License Maintenance. Licensee will use its best efforts to maintain in full force and effect through the Term the License and any associated authorizations for the Leased Channel, and will remain eligible under the FCC Rules to provide Lessee access to the Leased Channel. Neither Party will commit any act, engage in any activity, or fail to take any action that could reasonably be expected to cause the FCC to impair, revoke, cancel, suspend or refuse to renew the License. Licensee and Lessee shall take all other actions reasonably necessary to maintain the License in full force and effect, free from any claims, liabilities, liens or encumbrances, and continuing to authorize operation of the Channels in the Geographic Service Area of the License as of the Effective Date. Lessee’s operations on the Leased Channel and activities pursuant to the License shall be conducted in compliance with all FCC Rules and subject to the control of Licensee as mandated by Section 1.9020 of the FCC’s Rules. No person or third party shall be afforded any right, title or interest in or claims to the License, or the rights granted by this Agreement except as specifically provided herein. Lessee may not sublease or authorize any third-party use of the Leased Channel. Licensee and Lessee shall take such reasonable action, and shall reasonably refrain from taking such actions, as are necessary to assure that no condition exists or event occurs, that with or without the lapse of time or the giving of notice, or both, would give rise to any lien, encumbrance, or right of termination, forfeiture, modification, cancellation, prepayment, suspension, limitation, forfeiture, revocation or acceleration against Licensee or with respect to the License or that could have a material, adverse effect on the License or the rights granted by this Agreement. Lessee will continue to operate and maintain such of its existing facilities using the Channels that provide transmission capability in a manner sufficient to satisfy minimum build-out, performance and discontinuance requirements applicable to the License under FCC Rules prevailing at any given time throughout the Term and shall not cease use of the Leased Channel until the expiration of the Term. Coordination Documents. Lessee will enter into such operational agreements or agreements regarding coordination of operations and interference with third parties relating to the Leased Channel (collectively “Coordination Documents”) as Licensee reasonably requests and wit...

License Maintenance. On each anniversary of the date of this Agreement, Somanta shall pay Immunodex a license maintenance fee of [CONFIDENTIAL TREATMENT REQUESTED], until the First Commercial Sale of a Royalty-bearing Product at which time this fee will be automatically reduced to [CONFIDENTIAL TREATMENT REQUESTED] and shall be in consideration of the maintenance of the license to the BrE-3 Patents or the Mc-3 Patents, as the case may be, that do not cover the first Royalty-bearing Product (the "Non-Commercialized Patents"); provided, however, that Somanta's obligation to pay this [CONFIDENTIAL TREATMENT REQUESTED] license maintenance fee with respect to the Non-Commercialized Patents shall terminate and be of no further force or effect upon the earlier of: (i) approval of a Royalty-bearing Product by the U.S. Food and Drug Administration covered by the Non-Commercialized Patents, or (ii) termination of the license with respect to the Non-Commercialized Patents; and provided, further, that nothing in the choice of defined term of "Non-Commercialized Patents" shall be read to imply that Somanta is not required to be diligent with respect to the subject matter of the patent applications and patents included within such term.

Each shall provide copies of any such correspondence to the other. Promptly upon receipt, the receiving Party shall advise the other Party of any public or FCC complaint or inquiry known to the receiving Party concerning such Collaborative Programming, and each Party shall provide the other with copies of any such letters. Upon request, the Parties shall cooperate with each other to respond to such complaints and inquiries. Notwithstanding the foregoing, the Parties shall respond to all FCC complaints and any other FCC inquiries or matters in their roles as licensees of the respective Stations.
