rights described in Section 3.11(a) of the Disclosure Schedules, no other rights (including access rights) are necessary for the conduct of the business of AGB as currently conducted or contemplated to be conducted. AGB has complied in all respects with the ACMPR with respect to the License Application AGB knows of no claim or basis for any claim that might or could adversely affect the License Application or the grant of a License, and AGB has no responsibility or obligation to pay any fee, commission, royalty or other payment to any person with respect thereto except as disclosed in Section 3.11(a) of the Disclosure Schedules.\n(b) The rights, licenses and concessions set out in Section 3.11(a) to the Disclosure Schedule are currently sufficient to permit AGB to commence construction on the Leased Premises necessary to satisfy ACMPR requirements. The estimated costs and construction plans for construction of the Leased Premises are as set forth in Schedule 3.11(b) of the Disclosure Schedule.\n(c) Except as disclosed in Schedule 3.09(a) with respect default under the Lease and monies owing thereunder, all of the agreements, licenses, rights and other documents and instruments pursuant to which AGB holds its property and assets are valid and subsisting agreements, documents or instruments in full force and effect, enforceable in accordance with the terms thereof and in good standing. Except as disclosed in Schedule 3.09(a) with respect default under the Lease and monies owing thereunder, AGB is not in default of any of the material provisions of any such agreements, documents or instruments nor has any such default been alleged, and such properties and assets are in good standing under the applicable statutes and regulations of the jurisdictions in which they are situated, and there has been no material default under any lease or license pursuant to which AGB derives an interest in such property or assets and all taxes required to be paid with respect to such properties and assets to the date hereof have been paid. Except as disclosed in Schedule 3.09(a), with respect to AGB\u2019s obligation under the Lease to acquire the Leased Premises, the interests of AGB in, or rights of AGB in or to any property of AGB are not subject to any right of first refusal or purchase or acquisition rights.\n(d) AGB is in material compliance in all respects with each license and permit held by it and is not in violation of, or in default under, the applicable statutes, ordinances, rules, regulations, orders or decrees (including, without limitation, Environmental Laws, the ACMPR, the Food and Drug Act and the Controlled Drugs and Substances Act) of any governmental entities, regulatory agencies or bodies having asserting or claiming jurisdiction over it or over any part of its operations or assets.\n(e) AGB has not received any notice of, nor been prosecuted for an offence alleging, non-compliance with any laws, ordinances, regulations and orders, including, without limitation, Environmental Laws, the ACMPR, the Food and Drug Act or the Controlled Drugs and Substances Act, and AGB has not settled any allegation of non- compliance short of prosecution.
