No Target Company has received written notice alleging that a Target Company or (in relation to the Business) the Business Seller is in breach constituting grounds for termination of any material Licence In. For the purpose of this paragraph 2, a material Licence In means a licence that contains aggregate payment obligations and/or rights to receive monies by any party of €50,000 or more.
