Licences etc. 5.2.1 All necessary licences consents permits and authorities (public and private) have been obtained by the Company to enable the Company to carry on its business effectively in the places and in the manner in which such business is now carried on and all such licences consents permits and authorities are valid and subsisting. 5.2.2 The Company is not in breach of any of the terms and conditions of any such licences or consents and there are no factors known to the Vendors that might in any way prejudice the continuation or renewal of any of such licences or consents. 5.3

Licences etc all licences, permissions, registrations and consents required for the carrying on of the business of the Company as it is carried on at Completion have been obtained by it and are in full force and effect and the Company is not in breach of any of the terms or conditions of such licences, permissions, registrations or consents and, to the best of the knowledge, information and belief of the Seller, there are no circumstances indicating that any of those licences, permissions, registrations or consents is likely to be revoked or not renewed or varied or suspended in whole or in part whether or not in the ordinary course such circumstances including but not limited to the carrying into effect of this Agreement;
