This Agreement constitutes a fully negotiated agreement among commercially sophisticated parties, each assisted by legal counsel, and the terms of this Agreement shall not be construed or interpreted for or against any Party hereto. The Parties hereby agree that California Civil Code Section 1654 shall not apply to the terms of this Agreement.
