Common use of Liability of the Servicer Clause in Contracts

Liability of the Servicer. Notwithstanding any Subservicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and a Subservicer or reference to actions taken through a Subservicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 without diminution of such obligation or liability by virtue of such Subservicing Agreements or arrangements or by virtue of indemnification from the Subservicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Sub-Servicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and a Subservicer Sub-Servicer or reference to actions taken through a Subservicer Sub-Servicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee and Certificateholders for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 this Agreement without diminution of such obligation or liability by virtue of such Subservicing Sub-Servicing Agreements or arrangements or by virtue of indemnification from the Subservicer Sub-Servicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer Sub-Servicer for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

The Servicer shall be entitled to enter into any agreement with a Subservicer Sub-Servicer for indemnification of the Servicer by such Subservicer Sub-Servicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

The Each Servicer shall be entitled to enter into any agreement with a Subservicer for indemnification of the such Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and a Subservicer or reference to actions taken through a Subservicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee Owner for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 4.01 without diminution of such obligation or liability by virtue of such Subservicing Agreements or arrangements or by virtue of indemnification from the Subservicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. The Servicer shall be entitled to enter into any agreement with a Subservicer Sub-Servicer for indemnification of the Servicer by such Subservicer Sub- Servicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Sub-Servicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and a Subservicer Sub-Servicer or reference to actions taken through a Subservicer Sub-Servicer or otherwise, the Servicer shall remain primarily obligated and primarily liable to the Issuer and the Trustee for the servicing and administering of the Mortgage Loans Accounts in accordance with the provisions of Section 3.01 this Agreement without diminution of such obligation or liability by virtue of such Subservicing Agreements Sub-Servicing Agreement or arrangements or by virtue of indemnification from the Subservicer Sub-Servicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage LoansAccounts. The Servicer shall be entitled to enter into any agreement with a Subservicer Sub-Servicer for indemnification of the Servicer by such Subservicer Sub-Servicer, and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. The Servicer shall be entitled to enter into any agreement with a Subservicer Sub-Servicer for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

The Servicer shall be entitled to enter into any agreement with a Subservicer or the Seller for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the related Servicer and a Subservicer or reference to actions taken through a Subservicer or otherwise, the each Servicer shall remain obligated and primarily liable to the Trustee for the servicing and administering of the related Mortgage Loans in accordance with the provisions of Section 3.01 without diminution of such obligation or liability by virtue of such Subservicing Agreements or arrangements or by virtue of indemnification from the Subservicer and to the same extent and under the same terms and conditions as if the related Servicer alone were servicing and administering the such Mortgage Loans. The related Servicer shall be entitled to enter into any agreement with a Subservicer for indemnification of the such Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Sub-Servicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and a Subservicer Sub-Servicer or reference to actions taken through a Subservicer Sub-Servicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee and the Related Certificateholders for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 this Agreement without diminution of such obligation or liability by virtue of such Subservicing Sub-Servicing Agreements or arrangements or by virtue of indemnification from the Subservicer Sub-Servicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer Sub-Servicer for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Sub-Servicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and a Subservicer Sub-Servicer or reference to actions taken through a Subservicer Sub-Servicer or otherwise, the Servicer shall remain primarily obligated and primarily liable to the Issuer and the Indenture Trustee for the servicing and administering of the Mortgage Loans Accounts in accordance with the provisions of Section 3.01 this Agreement without diminution of such obligation or liability by virtue of such Subservicing Agreements Sub-Servicing Agreement or arrangements or by virtue of indemnification from the Subservicer Sub-Servicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage LoansAccounts. The Servicer shall be entitled to enter into any agreement with a Subservicer Sub-Servicer for indemnification of the Servicer by such Subservicer Sub-Servicer, and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and or a Subservicer or reference to actions taken through a Subservicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee Indenture Trustee, Issuer for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 without diminution of such obligation or liability by virtue of such Subservicing Agreements or arrangements or by virtue of indemnification from the Subservicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer or a Seller for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Agreement, any of subservicing agreement or the provisions of this Agreement relating to agreements or arrangements between the Servicer and a Subservicer subservicer or reference to actions taken through a Subservicer subservicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee Trustee, the Guarantor and the Certificateholders for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 Article III without diminution of such obligation or liability by virtue of such Subservicing Agreements subservicing agreements or arrangements or by virtue of indemnification from the Subservicer subservicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer subservicer for indemnification of the Servicer by such Subservicer subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Sub-Servicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and a Subservicer Sub-Servicer or reference to actions taken through a Subservicer Sub-Servicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee and the Certificateholders for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 this Agreement without diminution of such obligation or liability by virtue of such Subservicing Sub-Servicing Agreements or arrangements or by virtue of indemnification from the Subservicer Sub-Servicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer Sub-Servicer for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and or a Subservicer or reference to actions taken through a Subservicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee and Certificateholders for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 without diminution of such obligation or liability by virtue of such Subservicing Agreements or arrangements or by virtue of indemnification from the Subservicer or the Depositor and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer or Seller for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and a Subservicer or reference to actions taken through a Subservicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee and the Class A-1 Certificate Insurer for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 without diminution of such obligation or liability by virtue of such Subservicing Agreements or arrangements or by virtue of indemnification from the Subservicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Agreement, any of Sub-Servicing Agreement or the provisions of this Agreement relating to agreements or arrangements between the Servicer and a Subservicer Sub-Servicer or reference to actions taken through a Subservicer Sub-Servicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee and the Certificateholders for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 without diminution of such obligation or liability by virtue of such Subservicing Sub-Servicing Agreements or arrangements or by virtue of indemnification from the Subservicer Sub-Servicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer Sub- Servicer for indemnification of the Servicer by such Subservicer Sub-Servicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Section 3.05

The Servicer shall be entitled to enter into any agreement with a Subservicer or Seller for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. The Servicer shall be entitled to enter into any agreement with a Subservicer subservicer for indemnification of the Servicer by such Subservicer subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. The Servicer shall be entitled to enter into any agreement with a Subservicer for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.. 77

Notwithstanding any Subservicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and or a Subservicer or reference to actions taken through a Subservicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee and Certificateholders for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section SECTION 3.01 without diminution of such obligation or liability by virtue of such Subservicing Agreements or arrangements or by virtue of indemnification from the Subservicer or the Company and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer or Seller for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Liability of the Servicer. Notwithstanding any Subservicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and or a Subservicer or reference to actions taken through a Subservicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee Indenture Trustee, Issuer and the Credit Enhancer for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 without diminution of such obligation or liability by virtue of such Subservicing Agreements or arrangements or by virtue of indemnification from the Subservicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer or a Seller for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Notwithstanding any Subservicing Sub-Servicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and a Subservicer or reference to actions taken through a Subservicer or otherwise, the Servicer shall remain obligated and primarily liable to the Trustee and the Certificateholders for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 without diminution of such obligation or liability by virtue of such Subservicing Sub-Servicing Agreements or arrangements or by virtue of indemnification from the Subservicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Notwithstanding any Subservicing Sub-Servicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer and a Subservicer Sub-Servicer or reference to actions taken through a Subservicer Sub-Servicer or otherwise, the Servicer shall 44 remain obligated and primarily liable to the Trustee and Certificateholders for the servicing and administering of the Mortgage Loans in accordance with the provisions of Section 3.01 this Agreement without diminution of such obligation or liability by virtue of such Subservicing Sub-Servicing Agreements or arrangements or by virtue of indemnification from the Subservicer Sub-Servicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Mortgage Loans. The Servicer shall be entitled to enter into any agreement with a Subservicer Sub-Servicer for indemnification of the Servicer by such Subservicer and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.
