(a) Nothing herein shall require the Manager to maintain any minimum net worth or shall make any person associated with the Manager individually liable for any debt, liability or obligation of this Fund or of the Manager, and neither shall the Manager have any obligation to restore any negative balance in any Investor's or in the Manager's Capital Account.
LIABILITY OF INVESTORS. Each participating Investor shall be liable to the Buyer only to same extent as the Transferring Restricted Stockholder with respect to representations and warranties regarding the Company or its business, on a several basis for each such Investor’s pro rata portion, provided that each such Investor’s liability with respect to such representations and warranties shall not exceed the value of the proceeds received by such Investor upon the consummation of the Transaction Offer and, provided further, that no Investor shall be required to make any other representations or warranties or to provide any indemnities in connection therewith other than with respect to title to the shares being conveyed.
LIABILITY OF INVESTORS. Any liability or obligation of any kind whatsoever under this Agreement shall be several and not joint as between any MJG Affiliate(s) and their Permitted Transferees, on the one hand, and any SZI Affiliate(s) and their Permitted Transferees, on the other hand. Notwithstanding anything to the contrary in this Agreement, in no event shall any MJG Affiliate be responsible in any manner for any liability or obligation of, or the breach of any provision of this Agreement by, any person or group who is not an MJG Affiliate. Notwithstanding anything to the contrary in this Agreement, in no event shall any SZI Affiliate be responsible in any manner for any liability or obligation of, or the breach of any provision of this Agreement by, any person or group who is not an SZI Affiliate.

LIABILITY OF INVESTORS. 8.1.1 Investors can only be persons who acquire Units at a counter value of at least two hundred fifty thousand Euros (EUR 250,000.00) (or the equivalent value in another currency), unless such minimum amount is waived by the Manager in its sole and absolute discretion. The Manager may accept investments from clients of wealth managers, private banks, family offices and other type of investors up to the discretion of the Manager. For those investors, investments below one hundred thousand Euros (EUR 100,000.00) may be accepted as well per sole discretion of the Manager.
