Xxxxxxxx: The Metro regional government’s Natural Areas Program offers its strong support for the Pacific Lamprey Conservation Agreement and related effort to conserve Pacific Lamprey throughout its range. As manager of nearly 16,000 acres of parks and natural areas in the greater Portland metropolitan region, we appreciate that cooperation between resource agencies and between agencies and landowners is essential to getting big things done. Letters of Support. Monsoon shall use reasonable best efforts to, effective as of the Closing or as promptly as practicable thereafter, enter into letters of support on the same or substantially similar terms as those provided by Naspers Limited with respect to the Indigo Bank Guarantee Facilities.

(a) Indigo Parent shall procure that Naspers Limited shall maintain a letter of support with respect to each Indigo Bank Guarantee Facility in effect as of the date hereof on the same or substantially similar terms as that provided by Naspers Limited as of the date hereof until the earlier of (i) the date on which Monsoon terminates and replaces such Indigo Bank Guarantee Facility or otherwise enters into a letter of support in respect thereof pursuant to Section 7.17(b) or (ii) the Relevant Date. As used herein: (A) “Relevant Date” means (i) with respect to each Indigo Bank Guarantee Facility other than the IATA Bank Guarantee, the date falling 60 days after the Closing Date and (ii) with respect to the IATA Bank Guarantee, June 30, 2017.

Letters of Support. This application requires that (3) different parties write letters of agreement concerning the applicant’s proposed Employment Based Practicum – An Agency Administrator, the applicant’s Supervisor and the Proposed Field Instructor. The reason for these letters, and the detailed content that is requested, is to ensure that the applicant’s proposal is being supported through careful consideration of the implications for all involved. An EBP cannot just be added on to the applicant’s current work responsibilities, nor can the student’s current job responsibilities serve as the practicum. Rather the development of an EBP requires an investment in the student’s learning by all parties. It is hoped that these letters will facilitate the conversation, which will lead to a thorough understanding of the mutual commitments needed to make an EBP successful. It is the student’s responsibility to provide the individual’s writing these letters with a copy of the application and specifically the following points of information requested in the respective letters.
