Letter of Credit Reserve. To guard against fluctuations in currency exchange rates, upon the issuance of any Letter of Credit payable in a Foreign Currency, Bank shall create a reserve (the “Letter of Credit Reserve”) under the Revolving Line in an amount equal to ten percent (10%) (or such other amount Bank deems appropriate in its sole discretion at the time of issuance and while any such applicable Letter of Credit remains outstanding and Bank shall provide Borrowers notice of such amount) of the Dollar Equivalent of the face amount of such Letter of Credit. The amount of the Letter of Credit Reserve may be adjusted by Bank from time to time to account for fluctuations in the exchange rate. The availability of funds under the Revolving Line shall be reduced by the amount of such Letter of Credit Reserve for as long as such Letter of Credit remains outstanding.

Letter of Credit Reserve. Upon the issuance of a commercial Letter ------------------------ of Credit, Bank shall create a reserve under the Revolving Facility in an amount equal to fifty percent (50%) of the face amount of the commercial Letter of Credit. The amount of such reserve may be amended by Bank from time to time. The availability of funds under the Revolving Facility shall be reduced by the amount of such reserve for so long as such commercial Letter of Credit remains outstanding.
Letter of Credit Reserve. Letter of Credit Reserve" means at any time, the sum of -------------------------- the Revolving Letter of Credit Reserve and the Term Letter of Credit Reserve.
Letter of Credit Reserve. Two existing Letters of Credit numbered 584969 and 587968 for $200,000.00 and $1,500,000.00, respectively, have been previously issued by Bank and are deemed to have been issued under the Line of Credit. If the Line of Credit terminates for any reason prior to the expiration of any such Letters of Credit, Borrower shall pledge cash collateral maintained at Bank equal to 100% of the stated amount of each such outstanding Letter of Credit. The undrawn amount of such Letters of Credit shall be reserved under the Line of Credit and shall not be available for borrowings thereunder. Each Letter of Credit is subject to the additional terms and conditions of the Letter of Credit agreements, applications and any related documents that were or may be required by Bank in connection with the issuance thereof. Each drawing paid under a Letter of Credit shall be deemed an advance under the Line of Credit and shall be repaid by Borrower in accordance with the terms and conditions of this Agreement applicable to such advances; provided however, that if advances under the Line of Credit are not available, for any reason, at the time any drawing is paid, then Borrower shall immediately pay to Bank the full amount drawn, together with interest thereon from the date such drawing is paid to the date such amount is fully repaid by Borrower, at the rate of interest applicable to advances under the Line of Credit. In such event Borrower agrees that Bank, in its sole discretion, may debit any account maintained by Borrower with Bank for the amount of any such drawing.

Letter of Credit Reserve. If Century Bank requires that Borrower deposit with Century Bank $125,000.00 to be held by Century Bank as security for repayment of the Letter of Credit Note, then Lender shall disburse $125,000 of the initial $5,400,000.00 disbursement of the loan proceeds to Century Bank, to be held by Century Bank in accordance with a separate agreement between Borrower and Century Bank. Upon the expiration or the return or surrender of the original Century Bank Letter of Credit (without any drawing thereunder) Borrower shall cause Century Bank to return to Lender the $125,000.00 and Lender shall thereupon issue the Boston Federal Letter of Credit. If at any time Lender is requested by Borrower to directly issue a new Boston Federal Letter of Credit on behalf of Borrower, Lender shall receive from Borrower as a condition precedent thereto the sum of $125,000.00 (the "Escrow Funds") and shall hold the Escrow Funds as a reserve and as additional security for the repayment of the Loan and/or to secure the repayment of any amount which may be drawn against the Boston Federal Letter of Credit. Said Letter of Credit shall issue for the benefit of Century Bank or Lumbermens Mutual, as appropriate.

Letter of Credit Reserve. Borrower may request that HSBC issue a Letter of Credit payable in a Foreign Currency. If a demand for payment is made under any such Letter of Credit, HSBC shall treat such demand as an Advance to Borrower of the Dollar Equivalent of the amount thereof (plus fees and charges in connection therewith such as wire, cable, SWIFT or similar charges).   • Letter of Credit Subfacility (a) During the Revolving Credit Commitment Period, the Borrower may request the issuance of standby Letters of Credit to support obligations of a Subsidiary of the Parent which finance the working capital and business needs of a Subsidiary of the Parent by delivering to the Issuing Bank a completed Application for letters of credit in such form and with such other certificates, documents and information as the Issuing Bank may specify from time to time by no later than 12:00 noon, Philadelphia time, at least five (5) Business Days (or such shorter period as may be agreed to by the Issuing Bank) in advance of the proposed date of issuance. Each Application for issuance of a Letter of Credit shall be accompanied by an issuance fee based upon the Issuing Bank’s standard schedule of fees charged for issuing letters of credit as such may be amended from time to time. The Issuing Bank shall not at any time be obligated to issue any Letter of Credit hereunder if such issuance would conflict with, or cause the Issuing Bank or any Letter of Credit Participant to exceed, any limits imposed by any applicable Requirement of Law.   • Letter of Credit Amounts Unless otherwise specified herein, the amount of a Letter of Credit at any time shall be deemed to be the stated amount of such Letter of Credit in effect at such time; provided, however, that with respect to any Letter of Credit that, by its terms or the terms of any Issuer Document related thereto, provides for one or more automatic increases in the stated amount thereof, the amount of such Letter of Credit shall be deemed to be the maximum stated amount of such Letter of Credit after giving effect to all such increases, whether or not such maximum stated amount is in effect at such time.
