Lessor's Right to Assign. Lessor shall have the right to sell, encumber, convey, transfer and/or assign any and all of its rights and obligations under this Lease.

Nothing in this Lease shall empower Lessee to do any act without Lessor's prior written consent which can, shall or may encumber the title of the owner of all or any part of the Property.

All rights of Lessor shall be succeeded to by the Assignee or Assignees under any such assignment and said Assignee's title to this lease, to rental herein provided, shall be free from all defense, set offs and counterclaims to which Lessee may be entitled to assess against Lessor; it being understood and agreed that any such Assignee does not assume any obligations of Lessor, and that the Lessee may separately claim against Lessor any matters which Lessee may be entitled to assert against Lessor. 5
Lessor's Right to Assign. All rights of Lessor hereunder may be assigned, pledged, mortgaged, leased, transferred or otherwise disposed of, either in whole or in part, and/or Lessor may assign, pledge, mortgage, lease, transfer or otherwise dispose of title to the cars, with notice to Lessee.

Neither this Lease nor any of the rights, interests or obligations of Lessor hereunder shall be assigned, encumbered, hypothecated, subleased or otherwise transferred without the prior written consent of Lessee which consent shall not be unreasonably withheld. Upon any such assignment, all references in this Lease to "Lessor" shall be deemed to be references to Lessor's assignee. (c) This Lease shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns. 9.
Lessor's Right to Assign. The LESSOR may assign, transfer, sell or cede all its rights under this lease; provided that, the rights of the LESSEE shall be respected by the transferee or assignee of the LESSOR. In the event the LESSOR shall sell, assign or otherwise dispose of the Leased Premises, the LESSOR warrants to contractually bind the purchaser or assignee to take title to the Leased Premises subject to the rights of the LESSEE under this Contract, and to honor this Contract.
Lessor's Right to Assign. SUBORDINATION All rights of Lessor hereunder may be assigned, pledged, mortgaged, leased, transferred or otherwise disposed of, either in whole or in part, and/or Lessor may assign, pledge, mortgage, lease, transfer or otherwise dispose of title to the cars, with or without notice to Lessee. As a condition to any such assignment, pledge, mortgage, lease, transfer or other disposition, Lessor shall have entered into a management agreement with the assignee, pledgee, mortgagee, lessor, or other holder of legal title to or security interest in the cars for purposes of allowing such assignee, pledgee, mortgagee, lessor or other holder of legal title to or security interest in the cars to perform Lessee’s obligations hereunder. In the event of any such assignment, pledge, mortgage, lease, transfer or other disposition, this Lease and all rights of Lessee hereunder or those of any person, firm or corporation who claims or who may hereafter claim any rights in this Lease under or through Lessee, are hereby made subject and subordinate to the terms, covenants and conditions of any assignment, pledge, mortgage, lease, or other agreements covering the cars heretofore or hereafter created and entered into by Lessor, its successors or assigns and to all of the rights of any such assignee, pledgee, mortgagee, lessor, transferee or other holder of legal title to or security interest in the cars. During the term of this Lease no such assignee, pledgee, mortgagee, lessor, transferee or other holder of legal title to or security interest in the cars shall interfere with the quiet use, possession and enjoyment of the cars by Lessee provided that no event of default or termination event (however described) shall have occurred under such assignment, pledge, mortgage, lease or other agreement and provided that no event of default or termination event (however described) has occurred under this Lease and provided further that the exercise by assignee, pledgee, mortgagee, lessor, transferee or other holder of legal title to or security interest in the cars of their respective rights under or in connection with such assignment, pledge, mortgage, lease or other agreement or this Lease shall not constitute such an interference. Any sublease or assignment of the cars permitted by this Lease that is entered into by Lessee or its successors or assigns shall contain language which expressly makes such assignment or sublease subject to the subordination contained herein. Lessor's Right to Assign. Lessor or the owner(s) of the Building shall have the right to assign this Lease to a lending institution as collateral security for a loan, and in the event that such an assignment is given and executed by Lessor or the owner(s) .and notification is given thereof to the Lessee, this Lease shall not be cancelled or modified for any reason whatsoever, without the written consent of such lending institution, except as provided for, anticipated, or permitted by the terms of this Lease or by law. Lessee agrees that it will, if and whenever reasonably required by Lessor, at Lessor’s expense, consent to and become a party to any instrument(s) permitting a mortgage, trust deed or hypothec to be placed on the Building or Premises or any part thereof as security for any indebtedness covered by the trust deed, mortgage or hypothec; and Lessee agrees, in such event, to subordinate this Lease to the trust deed, mortgage or hypothec.
Lessor's Right to Assign. The Lessee agrees that the Lessor may ------------------------- assign its rights and interests under this Lease, in the Satellite and/or in any or all sums due or to become due to the Lessor under this Lease to any party at any time and for any reason, provided that, except with respect to the granting of a security interest or the assignment of a right to payment, such assignee agrees in writing to assume all of the duties and obligations hereunder of the Lessor. The Lessee agrees that upon receipt of notice of such assignment, the Lessee shall perform all of its obligations directly for the benefit of the assignee and shall pay all sums due or to become due to the Lessor directly to the assignee, or as otherwise directed by such assignee. Upon receipt of notice of such assignment, the Lessee agrees to execute and deliver such documentation as assignee may reasonably require from the Lessee to give effect to the intent of this Section. Upon any such assignment by the Lessor, the Lessor shall be released from any further obligations and liabilities under this Lease.
Lessor's Right to Assign. Lessor shall have the right to assign this Lease to any third party other than a competitor of Lessee, provided that Lessor gives notice to Lessee of such assignment.
