Lessor Repairs. Lessor shall not be required to make any improvements, replacements or repairs of any kind or character to the leased premises or the project during the term of this Lease except as are set forth in this section. Lessor shall maintain only the roof, foundation, parking and common areas, and the structural soundness of the exterior walls (excluding windows, windowglass, plate glass and doors). Lessor's costs of maintaining the items set forth in this section are subject to the additional rent provisions in section 2.02. Lessor shall not be liable to Lessee, except as expressly provided in this Lease, for any damage or inconvenience, and Lessee shall not be entitled to any abatement or reduction of rent by reason of any repairs, alterations or additions made by Lessor under this Lease.

Lessor Repairs. Unless otherwise expressly stipulated herein, Lessor shall not be required to make any improvements to or repairs of any kind or character on the Leased Premises during the term of this Lease, except such repairs as may be for normal maintenance of the Common Areas which shall include the painting of and repairs to walls, floors, corridors, windows, and other structures and equipment within the Common Areas only, and such additional maintenance of the Common Areas as may be necessary because of damages by persons other than Lessee, its agents, employees, invitees, licensees or visitors. Lessor shall have no obligation to maintain or repair the Leased Premises except as set forth herein. Lessee will promptly give Lessor notice of any damage in the Leased Premises requiring repairs by Lessor. If the Building or the equipment used to provide the services referred to in Section 4.1 are damaged by acts or omissions of Lessee, its agents, customers, employees, licensees or invitees, then Lessee will bear the cost of such repairs. Lessor shall not be liable to Lessee, except as expressly provided in this Lease, for any damage or inconvenience, and Lessee shall not be entitled to any damages nor to any abatement or reduction of rent by reason of any repairs, alterations or additions made by Lessor under this Lease. Lessor's cost of maintaining and repairing the items set forth in this section are subject to the operating expense provisions in Section 2.3. All requests for repairs or maintenance that are the responsibility of Lessor pursuant to any provision of this Lease must be made in writing to Lessor and Manager at the addresses in Section 1.1 and Section 1.3.
Lessor Repairs. Lessor shall cause the Property Manager to maintain, repair, operate and, as necessary, replace the Common Area, the Delivery Facilities, the Access Facilities (including the Wxxxxxx Access Facilities), the Fxxxxx Roof Facilities, the Utility Facilities, the Parking Facilities, the Trash Room and the Building Exterior in accordance with the terms and conditions of the REA.
Lessor Repairs. Notwithstanding anything to the contrary in this Facility Lease, including without limitation, Section 1.3 above, Lessor hereby agrees to repair those conditions set forth on Exhibit D (collectively, the “Lessor’s Work”), which is attached to and made a part of this Facility Lease, on or prior to the Effective Time (as defined in Section 1.5(a) of the APA). Lessor Repairs. Lessor shall keep (a) the foundations, exterior walls (including exterior windows except to the extent broken, cracked or damaged by TTPU or its respective employees, agents or subtenant), (b) the roof of the Leased Premises, (c) the heating, ventilating, and cooling equipment and systems (the "HVAC Systems") serving the Leased Premises, and (d) all other portions of the Building other than the Leased Premises (except those portions of the Building that TTPU has otherwise agreed to maintain pursuant to this Lease), in good repair and condition, ordinary wear and tear excepted. In the event that the Leased Premises or Project should become in need of repairs required to be made by Lessor in accordance with this Lease, TTPU shall give prompt written notice thereof to Lessor and Lessor shall not be responsible in any way for failure to make any such repairs until a reasonable time shall have elapsed after receipt by Lessor of such written notice. Notwithstanding the foregoing, Lessor shall not be obligated to make repairs, replacements or improvements of any kind: (i) to or for any trade fixtures contained in the Leased Premises; (ii) to glass, doors, or any improvements to the Leased Premises made by or on behalf of TTPU, including, without limitation, the TTPU Work; or (iii) that are the result of any damages to the Building, including the roof, or Leased Premises caused by any act or omission of TTPU or their employees, agents, contractors, invitees, or licensees. TTPU shall have the sole responsibility for all repairs, replacements, or improvements to the Leased Premises that are not specified in this Section 7.1 to be the responsibility of Lessor. TTPU understands and agrees that Lessor shall have the right (and TTPU shall permit Lessor or its employees, agents or contractors reasonable access to the Leased Premises for the purpose of exercising such rights), to install, maintain, repair and replace in the ceiling space and/or under the concrete slab in the Leased Premises, all such electrical, plumbing, HVAC Systems, as defined hereafter, and other system components that may be required to service the Common Areas or other tenants in the Project. Lessor shall use its best efforts to minimize any disruption of TTPU's business resulting from the exercise of such right and shall be responsible for any damage to TTPU or their respective merchandise, inventory, fixtures and equipment resulting therefrom.

Lessor Repairs. Except as provided in Section 5.02 hereof, Lessor shall keep the foundation, the structural soundness of the exterior walls, structural parts, beams and members, the floors, floor slabs and other structural components in good repair. Lessor shall make all repairs, interior and exterior, if caused by shifting or settling of the foundation, footings or floor slab (including replacements of all plate glass and other components of the Building damaged thereby). Lessor shall at its own cost and expense without chargeback to Lessee perform the maintenance and repair obligations set forth in this Section and in Section 6.08. Except as expressly provided in this Lease, Lessor shall not be liable to Lessee for any damage or inconvenience, and Lessee shall not be entitled to any abatement or reduction of rent by reason of repairs, alterations or additions made by Lessor under this Lease. Lessor shall, at its own cost and expense without chargeback to Lessee, repair or replace any damage or injury to all or any part of the leased premises caused by any act or omission of Lessor or Lessor's agents, employees, invitees, licensees or visitors. Lessor shall perform all maintenance and repair obligations which are its responsibility hereunder so as to minimize the disruption of and interference with Xxxxxx's business. If Lessor shall enter the leased premises to perform repairs to the Building and the performance of such repairs would cause a material disruption such that Lessee cannot transact its business, Lessee may require Lessor to perform such repairs during the period from 10:00 p.m. to 6:00 a.m. and during such additional hours, if any, when Lessee shall not be conducting its business in the leased premises. If the repairs Lessor is to perform shall be lengthy in duration, Lessee shall undertake reasonable efforts, without being required to disrupt its business or make the conduct of the same materially more inconvenient, to enable Lessor to perform all or more of such repairs during daytime hours. In the event Lessor shall fail to make repairs, maintenance or replacements required herein within 30 days after notice (except in an emergency in which case Lessor shall respond immediately upon notice), Lessee shall have the right, but not the obligation, to make said repairs, maintenance or replacements on behalf of Lessor, and to xxxx Xxxxxx for the cost thereof, with such amount to be paid by Lessor to Lessee within 15 days of the date of Lessee's bill. Lessor Repairs. During the progress of any work in the Leased Space performed by the LESSOR pursuant to the provisions hereof, LESSOR may keep and store therein all necessary materials, tools supplies and equipment. LESSOR shall not be liable for inconvenience, annoyance, disturbance, loss of business or other damage of LESSEE by reason of making such repairs of the performance of any such work, or on account of bringing materials, tools, supplies and equipment into the Leased Space during the course thereof and the obligations of LESSEE under this Lease shall not be affected thereby, provided that LESSOR uses efforts reasonable under the circumstances to minimize to the extent practical any resulting inconvenience, annoyance, disturbance, loss of business or other damage to LESSEE or any subtenant by reason of making such repairs or in the performance of any such work or in any of the matters referred to above.
