Lender's Counsel. All legal matters incident to this Agreement shall be satisfactory to counsel for the Lender, and the Borrower shall have reimbursed the Lender for the reasonable fees and expenses of Lender’s counsel in connection with the preparation of this Agreement and all matters incident thereto.
Lender's Counsel. Each Lender's counsel must approve of all matters pertaining to (i) title to the Collateral; (ii) the form, substance and due execution of all Loan Documents; (iii) Borrower's organizational documents; and (iv) all other legal matters, including the application of any laws relating to usury.

Lender's Counsel. All documents required by Lender in connection with the closing of the transaction contemplated herein shall be prepared or reviewed by Lender's legal counsel. Regardless of whether the transaction closes, Borrower shall pay to Lender's counsel all reasonable fees for services preformed by such counsel in connection with the transaction and preparation and review of documents, and shall reimburse said counsel for all disbursements for the account of either the Lender or the Borrower in connection with the transaction.
Lender's Counsel. The Borrower shall have appointed the Lenders Counsel to inter alia assist the Lender in reviewing and finalizing the Transaction Documents and shall have undertaken to pay or arrange the payment of all fees, expenses and other charges payable to the Lenders Counsel. The Borrower shall have agreed and undertaken to provide all information and other assistance required by the Lenders Counsel for the discharge of its services and to carry out all such changes/alterations as may be recommended by it.
Lender's Counsel. The Borrower further agrees to pay all reasonable costs and expenses (including reasonable fees and expenses of counsel, accountants and other experts) in connection with the preservation or enforcement of rights and remedies under the Loan Documents and the other documents delivered hereunder including, without limitation, all reasonable costs and expenses sustained by them as a result of any failure by any of the Obligors to perform or observe their respective obligations contained in any of the Loan Documents and the other documents delivered hereunder and thereunder.
Lender's Counsel. As of the Joinder Effective Date, each Subsidiary Loan Party becoming a Subsidiary Loan Party by the execution hereof shall be a party to the Credit Agreement and, to the extent provided in this Joinder, shall have the rights and obligations of a Loan Party and a Guarantor thereunder and under the other Loan Documents. Successors and Assigns. This Joinder shall be binding upon and inure to the benefit of the Borrower, the other Loan Parties, and the Lender and their respective successors and assigns.
Lender's Counsel. 11.1.1 The Agent shall have received from the Borrower, the following, each dated as of a date satisfactory to the Lenders and in form and substance satisfactory to the Lenders and the Lenders’ Counsel:
