Legal Expenses and Claims. (i) All costs and expenses, net of insurance proceeds, of handling, investigating and settling litigation or Claims arising by reason of the provision of the Services, or necessary to protect or recover any of Company’s property, including, but not limited to, attorneys fees, court costs, cost of investigation or procuring evidence and any judgments paid or amounts paid in settlement or satisfaction of any such litigation or claims. (Note: a “baseload” level of in-house legal assistance for Company is provided and is included by Operator in the Operational and Administrative Services Fee under the Omnibus Agreement.)

All costs and expenses of handling, investigating and settling claims arising by reason of the Operation of the System or necessary to protect or recover any Partnership (including any NOARK Related Entity) property, including, but not limited to, attorneys' fees, court costs, costs of investigation or procuring evidence and any judgments paid or amounts paid in settlement or satisfaction of any such claims. Expenditures in excess of $50,000 for any single item of cost shall require the approval of the Management Committee as provided in the Partnership Agreement.

All judgments received or amounts received in settlement of litigation with respect to any claim asserted on behalf of the Company shall be for the benefit of and shall be remitted to the Company.

All judgments received or amounts received in settlement of litigation with respect to any claim asserted on behalf of Pipeline shall be for the benefit of and shall be remitted to Pipeline.

All costs and expenses of handling, investigation and settling litigation or claims at the request of the OLP General Partner, including, but not limited, to, attorneys' fees, court cost, cost of investigation or procuring evidence and any judgments paid or amounts paid in settlement or satisfaction of any such litigation or claims. The Administrator shall credit the OLP General Partner for judgments received or amounts received in settlement of any such litigation.
