Legal Claims. If the claim asserted by the prevailing Party is legal in nature and results in an award to the Party of monetary damages, the Court will determine an amount of Litigation Costs to be awarded that are equitable and just in light of the total monetary damages sought by the prevailing Party, the total Litigation Costs incurred by it in pursuing such monetary damages and the proportional relationship between the monetary damages actually awarded and the total Litigation Costs incurred. Awarded Litigation Costs must bear some reasonable relationship to the amount of monetary damages awarded.
Legal Claims. The Parties acknowledge that RSU 5 may be liable for future legal claims based on incidents arising between July 1, 2009 and June 30, 2015, when Freeport was a member of RSU 5. The New Freeport SAU shall be responsible for and agrees to pay 65.98% of RSU 5’s costs, expenses, damages and other losses arising from such claims, including costs to defend any such claims, to the extent not paid by RSU 5’s insurance or other sources. RSU 5 shall give written notice of such claims to the New Freeport SAU within 30 days of the date that RSU 5 receives notice of a claim. RSU 5 shall regularly update the New Freeport SAU regarding the status of such claims, and shall obtain advance written approval from the New Freeport SAU before entering into settlement of such claims, which approval shall not be unreasonably withheld or delayed.

We reserve the right not to pay dividends on amounts subject to garnishment, levy or other legal process.

Vendors agree to make no claim for any reason against event staff, coordinators, volunteers, APRL officers, SoCal VegFest, and OC Fair & Event Center for loss, theft, damage, or destruction of goods, nor for injury to themselves, employees, volunteers, or visitors incurred at the event. Vendors will not interfere with the safety, success, and effectiveness of VegFest. This includes, but is not limited to, behavior, display materials, literature, venue equipment, or operations, unusual odors, or extending beyond Vendor space and/or blockage of public passageways. Vendors may not solicit/sample to/or petition attendees beyond the confines of their booth. Music and/or recordings must not interfere with neighboring booths. Vendor agrees to comply with all the regulations of the facility hosting the Festival and all federal, state, and municipal laws, including health and safety. Vendor agrees to be responsible for collection and reporting of sales tax as required by law. Vendor shall be responsible for obtaining all licenses, permits, health certificates or items required by governmental agencies in order that Vendor’s booth/concession may be lawfully operated.

Legal Claims. GFS Host shall remain primarily liable to A21 in respect of any act or omission of any employee, contractor, sponsor, partner or volunteer they engage in connection with an Event or their obligations under this Agreement as if any such act or omission were its own.
