LC Requests. Whenever the Borrower desires that a Letter of Credit be issued for its account or the account of any eligible LC Obligor, the Borrower shall give the Administrative Agent and the applicable LC Issuer written or telephonic notice (in the case of telephonic notice, promptly confirmed in writing if so requested by the Administrative Agent) which, if in the form of written notice, shall be substantially in the form of Exhibit B-3 (each such request, an “LC Request”), or transmit by electronic communication (if arrangements for doing so have been approved by the applicable LC Issuer), prior to 11:00 A.M. (local time at the Notice Office) at least three Business Days (or such shorter period as may be acceptable to the relevant LC Issuer) prior to the proposed date of issuance (which shall be a Business Day), which LC Request shall include such supporting documents that such LC Issuer customarily requires in connection therewith (including, in the case of a Letter of Credit for an account party other than the Borrower, an application for, and if applicable a reimbursement agreement with respect to, such Letter of Credit). In the event of any inconsistency between any of the terms or provisions of any LC Document and the terms and provisions of this Agreement respecting Letters of Credit, the terms and provisions of this Agreement shall control.
LC Requests. Whenever a Borrower desires that a Letter of Credit be issued for its account or the account of any eligible LC Obligor, Borrower shall give the Administrative Agent and the applicable LC Issuer written notice which shall be substantially in the form of Exhibit M (each such request, an “LC Request”), or transmit by electronic communication (if arrangements for doing so have been approved by the applicable LC Issuer), at least two (2) Business Days (or such shorter period as may be acceptable to the relevant LC Issuer) prior to the proposed date of issuance (which shall be a Business Day), which LC Request shall include such supporting documents that such LC Issuer customarily requires in connection therewith (including, in the case of a Letter of Credit for an account party other than a Borrower, an application for, such Letter of Credit). In the event of any inconsistency between any of the terms or provisions of any LC Document and the terms and provisions of this Agreement respecting Letters of Credit, the terms and provisions of this Agreement shall control.
LC Requests. (i) Whenever a Borrower desires that a Letter of Credit be issued for its account or the account of any eligible LC Obligor, such Borrower shall give the Administrative Agent and the applicable LC Issuer written or telephonic notice (in the case of telephonic notice, promptly confirmed in writing) which shall be substantially in the form of Exhibit B-3 (each such request, an “LC Request”), or transmit by electronic communication (if arrangements for doing so have been approved by the applicable LC Issuer), prior to 12:00 noon (Local Time) at least three (3) Business Days (or such shorter period as may be acceptable to the relevant LC Issuer) prior to the proposed date of issuance (which shall be a Business Day), which LC Request shall specify in form and detail reasonably satisfactory to the relevant LC Issuer: (1) the proposed issuance date of the requested Letter of Credit (which shall be a Business Day); (2) the amount thereof; (3) the expiry date thereof; (4) the name and address of the beneficiary thereof; (5) the documents to be presented by such beneficiary in case of any drawing thereunder; (6) the full text of any certificate to be presented by such beneficiary in case of any drawing thereunder and (7) such other matters as the relevant LC Issuer may reasonably request, or transmit by electronic communication (if arrangements for doing so have been approved by the applicable LC Issuer), prior to 12:00 noon (Local Time) at least three (3) Business Days (or such shorter period as may be acceptable to the relevant LC Issuer) (including, in the case of a Letter of Credit for an account party other than a Borrower, an application for, such Letter of Credit). In the case of a request for an amendment or extension of any outstanding Letter of Credit, such LC Request shall specify in form and detail reasonably satisfactory to the relevant LC Issuer (1) the Letter of Credit to be amended or extended; (2) the proposed date of amendment or extension thereof (which shall be a Business Day); (3) the nature of the proposed amendment or the length of extension and (4) such other matters as the relevant LC Issuer may reasonably request. In the event of any inconsistency between any of the terms or provisions of any LC Document and the terms and provisions of this Agreement respecting Letters of Credit, the terms and provisions of this Agreement shall control.

In the event of any inconsistency between any of the terms or provisions of any LC Document and the terms and provisions of this Agreement respecting Letters of Credit, the terms and provisions of this Agreement shall control.
LC Requests. The Borrower may, for and on behalf of any of the Owners, request an LC to be issued on any Business Day prior to the LC Availability Termination Date by delivery to the Issuer of a duly completed Issue Request not more than ten (10) and not fewer than three (3) Business Days before the proposed Issue Date. Each Issue Request once given shall be irrevocable and shall constitute a warranty by the Borrower that:-

Whenever the Company desires that a Revolving Letter of Credit be issued for its account or the account of any other LC Obligor, the Company shall give the Administrative Agent and the applicable LC Issuer written or telephonic notice (in the case of telephonic notice, promptly confirmed in writing if so requested by the Administrative Agent) (each such request, a “Revolving LC Request”), prior to 11:00 A.M. (Cleveland, Ohio time) at least three Business Days, or in the case of any Revolving LC Request for a Revolving Letter of Credit denominated in a Designated Foreign Currency, five Business Days (or such shorter period as may be acceptable to such LC Issuer), prior to the proposed date of issuance (which shall be a Business Day), which Revolving LC Request shall include such supporting documents that such LC Issuer customarily requires in connection therewith (including, in the case of a Revolving Letter of Credit for an account party other than the Company, an application for, and if applicable a reimbursement agreement with respect to, such Letter of Credit). In the event of any inconsistency between any of the terms or provisions of any LC Document and the terms and provisions of this Agreement respecting Revolving Letters of Credit, the terms and provisions of this Agreement shall control.
LC Requests. Whenever a Canadian Borrower desires that a Canadian Letter of Credit be issued for its account or the account of any other LC Obligor, such Canadian Borrower shall give the Administrative Agent and the applicable LC Issuer written or telephonic notice (in the case of telephonic notice, promptly confirmed in writing if so requested by the Administrative Agent) (each such request, a “Canadian LC Request”), prior to 11:00 A.M. (Cleveland, Ohio time) at least three Business Days prior to the proposed date of issuance (which shall be a Business Day), which Canadian LC Request shall include such supporting documents that such LC Issuer customarily requires in connection therewith (including, in the case of a Canadian Letter of Credit for an account party other than such Canadian Borrower, an application for, and if applicable a reimbursement agreement with respect to, such Letter of Credit). In the event of any inconsistency between any of the terms or provisions of any LC Document and the terms and provisions of this Agreement respecting Canadian Letters of Credit, the terms and provisions of this Agreement shall control.

Whenever the Borrower desires that a Letter of Credit be issued for its account, the Borrower shall give the Lender written or telephonic notice (in the case of telephonic notice, promptly confirmed in writing if so requested by the Lender) which, if in the form of written notice, shall be substantially in the form of Exhibit B-1 (each such request, a "LC Request"), or transmit by electronic communication, prior to 11:00 A.M. (local time at the Notice Office) at least three Business Days (or such shorter period as may be acceptable to the Lender) prior to the proposed date of issuance (which shall be a Business Day), which LC Request shall include such supporting documents that the Lender customarily requires in connection therewith. In the event of any inconsistency between any of the terms or provisions of any LC Document and the terms and provisions of this Agreement respecting Letters of Credit, the terms and provisions of this Agreement shall control.

Whenever the Company desires that a U.S. Letter of Credit be issued for its account or the account of any eligible U.S. LC Obligor, the Company shall give the Administrative Agent and the applicable U.S. LC Issuer written or telephonic notice (in the case of telephonic notice, promptly confirmed in writing if so requested by the Administrative Agent) or electronic notice which, if in the form of written notice, shall be substantially in the form of Exhibit B-3 (each such request, a “U.S. LC Request”), or transmit by electronic communication (if arrangements for doing so have been approved by the applicable U.S. LC Issuer), prior to 11:00 A.M. (local time at the Notice Office) at least three Business Days (or such shorter period as may be acceptable to the relevant U.S. LC Issuer) prior to the proposed date of issuance (which shall be a Business Day), which U.S. LC Request shall include such supporting documents that such U.S. LC Issuer customarily requires in connection therewith (including, in the case of a U.S. Letter of Credit for an account party other than the Company, an application for, and if applicable a reimbursement agreement with respect to, such U.S. Letter of Credit). In the event of any inconsistency between any of the terms or provisions of any U.S. LC Document and the terms and provisions of this Agreement respecting U.S. Letters of Credit, the terms and provisions of this Agreement shall control.
