Laws and Regulation. 4.6.1 The Contractor shall adhere to all laws and regulations relating to the provision of the Project Services.

The Transfer Agent will take reasonable steps to stay informed of new securities and tax laws and regulations which apply to the Transfer Agent’s products and services hereunder and will take reasonable steps to update its products and/or services to comply with new securities and tax laws and regulations applicable to its transfer agency business in the time and manner as required by such laws and regulations.

On a quarterly basis, upon request of the Fund, the Transfer Agent shall provide the Fund with a Rule 38a-1 certification substantially in the format previously provided to the Fund in connection with the negotiation of this Agreement. The Transfer Agent reserves the right to amend and update the form of its Rule 38a-1 certification from time to time to comply with new or amended requirements of applicable law or to enhance its Compliance+ program.
Laws and Regulation. Notwithstanding any provision of this Agreement to the contrary, no party to this Agreement shall be required to take any act, or fail to take any act, under this Agreement if the effect thereof would be to cause such party to be in violation of any applicable law, statute, rule or regulation.

Laws and Regulation. LICENSEE and its sublicensees shall comply with all foreign and United States federal, state, and local regluations, rules, and orders applicable to the license granted hereunder and to the testing, production, transportation, export, packaging, labeling, sale and use of the LICENSED PRODUCT OF SERVICES or otherwise applicable to LICENSEE'S and sublicensee's activities hereunder.
