Lavipharm's Indemnity. Lavipharm shall indemnify, --------------------- defend and hold Endo harmless from any and all suits, claims, actions, demands, liabilities, interest, awards, judgments, penalties, expenses, costs, damages or losses (including, without limitation, reasonable attorneys' fees and expenses) actually suffered or incurred (each, a "Loss") by Endo arising out of or ---- relating to the breach of any representation or warranty, covenant or agreement by Lavipharm contained in this Agreement.
