Late Shipments. Supplier or CONTRACTOR is responsible to notify the CITY department receiving the items and the Senior Buyer of any late or delayed shipments. The CITY reserves the right to cancel all or any part of an order if the shipment is not made as promised.

Late Shipments. Vendor is responsible for notifying the Procurement Supervisor or designee of any late or delayed shipments. The CCRC reserves the right to cancel all or any part of an order if the shipment is not made as promised.
Late Shipments. SUPPLIER shall ship all products on the dates as specified in section 3.1 or 5.3. Shipments are considered late if Products is not delivered to DIRECTED's preferred shippers within twenty (20) day of the confirmed delivery date as specified in section 3.1 or 5.3. SUPPLIER will be responsible for all airfreight charges incurred for the shipment of Product resulting from late shipments (Directed will, however, only request air freight on such 'late' shipments where absolutely necessary.) SUPPLIER will not be responsible for the late shipments caused by the parts that DIRECTED cannot provide thirty (30) days before the delivery date. DIRECTED shall be responsible for all airfreight charges incurred for the shipment of Product that is not considered a late shipment and a request for air shipment is made by DIRECTED.
Late Shipments. Patheon agrees that time is of the essence of this Agreement. If Patheon becomes aware that it will not meet a scheduled delivery date, Patheon will promptly communicate this to Client. In the event of repeated late deliveries, Patheon and Client shall meet to determine a mutually satisfactory solution to this problem. If after such meetings, there are continued late deliveries, Client shall be entitled to treat same as a material breach of this Agreement and the provisions of Section 5.3(a) hereof shall apply and the time period specified in Section 5.3(a) shall commence.
Late Shipments. If Seller is not able to meet the delivery date for the Products specified on the purchase order, due to factors under the Seller's direct control, Seller will immediately notify LCR in writing and include the reasons therefore. In such event, Seller will either ship the Products on an expedited basis or offer and deliver a substitute product which is acceptable to LCR. Seller will pay all reasonably substantiated costs in excess of those that would have been incurred by LCR had Seller performed according to the instructions from LCR regarding Seller's expedited shipments or substitute products. If LCR must use alternate sources to satisfy its supply requirements because of Seller's failure to perform in accordance with this Agreement, then Supplier will be responsible for all reasonably substantiated costs in excess of those LCR would have otherwise incurred had Seller performed and may be subject to liquidated damages of one percent (1%) of the Purchase Order amount per calendar day of delay (up to the contract value).

Late Shipments. ViaLight shall immediately notify ABWN in writing upon becoming aware that any part of a shipment of Products will not be, or has not been, delivered by the associated Delivery Date and shall provide reasons for the delay and a revised Delivery Date. ViaLight’s revised Delivery Date must take into account the use of all reasonable means available to expedite production and delivery of the delayed Products, including, without limitation, expediting the procurement of materials, using expedited transportation means and labor overtime (“Accelerated Measures”). In the event of such delay, ABWN may assess a charge of not more than 4% of the total price of the affected shipment to ViaLight as a result of such delayed delivery.

Supplier will promptly notify Buyer if it is unable to comply with the delivery date specified in a PA.
