Late Shipments. Supplier or CONTRACTOR is responsible to notify the CITY department receiving the items and the Senior Buyer of any late or delayed shipments. The CITY reserves the right to cancel all or any part of an order if the shipment is not made as promised.
Late Shipments. Vendor shall immediately notify Blue Coat in writing upon becoming aware that any part of a shipment of Products will not be, or has not been, delivered by the Delivery Date and shall provide reasons for the delay and a revised Delivery Date. Vendor’s revised Delivery Date must take into account the use of all means available to expedite production and delivery of the delayed Products, including Design & Manufacturing Services Agreement without limitation expediting the procurement of materials, using expedited transportation means and labor overtime (“Accelerated Measures”). Vendor shall bear the cost difference incurred as a result of the Accelerated Measures provided that such delay is attributable to Vendor. A default by the designated forwarder will not, by itself, constitute a cause attributable to Vendor.
Late Shipments. SUPPLIER shall ship all products on the dates as specified in section 3.1 or 5.3. Shipments are considered late if Products is not delivered to DIRECTED's preferred shippers within twenty (20) day of the confirmed delivery date as specified in section 3.1 or 5.3. SUPPLIER will be responsible for all airfreight charges incurred for the shipment of Product resulting from late shipments (Directed will, however, only request air freight on such 'late' shipments where absolutely necessary.) SUPPLIER will not be responsible for the late shipments caused by the parts that DIRECTED cannot provide thirty (30) days before the delivery date. DIRECTED shall be responsible for all airfreight charges incurred for the shipment of Product that is not considered a late shipment and a request for air shipment is made by DIRECTED.
Late Shipments. Patheon agrees that time is of the essence of this Agreement. If Patheon becomes aware that it will not meet a scheduled delivery date, Patheon will promptly communicate this to Client. In the event of repeated late deliveries, Patheon and Client shall meet to determine a mutually satisfactory solution to this problem. If after such meetings, there are continued late deliveries, Client shall be entitled to treat same as a material breach of this Agreement and the provisions of Section 5.3(a) hereof shall apply and the time period specified in Section 5.3(a) shall commence.
Late Shipments. In the event that Supplier has not shipped Products under the Purchase Order within forty five (45) days of the date of the Purchase Order (a “Late Shipment”), Supplier agrees to allow Distributor to take a discount equal to ten percent (10%) per month (prorated for parts of months) that the Product in such Purchase Order remains unshipped.
Late Shipments. In the event that Supplier has not shipped Products under the Purchase Order within * * * days of the date of the Purchase Order (a “Late * * * Confidential Treatment Requested Shipment”), Supplier agrees to allow Distributor to take a discount equal to * * * per month (prorated for parts of months) that the Product in such Purchase Order remains unshipped.
Late Shipments. Shipments after the shipping date specified or after the shipping dates required to meet SUPERVALU's needs, will be identified. SUPERVALU will notify Vendor of SUPERVALU's intended disposition of the shipment and/or penalties to be assessed. SUPERVALU may assess Vendor a penalty (amount variable by DC) on those orders shipped past the required shipment date. SUPERVALU reserves the right to (i) return, at Vendor's expense (incoming and outgoing freight and handling charges where applicable), all shipments received after the required shipment date without authorization by SUPERVALU, and (ii) hold Vendor accountable for any special costs incurred by SUPERVALU caused by the late shipment.
Late Shipments. Under no circumstances will Synnex be liable for (a) any late shipment damages if it fails to ship items that were ordered and scheduled for shipment in shorter than the standard Product Manufacturing Time and Synnex was unable to ship on time, (b) any late shipment damages if the delay was due to a Blue Coat designated supplier issue or (c) any late shipment damages if the delay was due to force majeure.
