Landscape Maintenance Agreement. If the Developer shall elect to purchase the Developer Premises, then at the Closing hereunder, the Developer and the City shall enter into a landscape maintenance agreement (the "Landscape Maintenance Agreement"), in a form acceptable to Developer and the City, and which form shall be substantially similar to the form of Landscape Maintenance Agreement attached hereto as Exhibit G. The Landscape Maintenance Agreement shall require the Developer to maintain, at the Developer's sole cost and expense, and for so long as the Developer Premises shall be used for office or commercial use, any and all landscaping which the Board may require the Developer to undertake with respect to the City Premises, the Shoreland Park Improvements and any other landscaping voluntarily undertaken by the Developer. The City expressly acknowledges and agrees that, regardless of whether the Developer shall elect to purchase the Developer Premises, the Seller, and its successors and assigns, shall have no obligation to enter into a Landscape Maintenance Agreement, or to maintain any landscaping on the City Premises, or to maintain the Shoreland Park Improvements (subsequent to the completion of same), at any time after a Closing hereunder.
