LANDLORD HELD HARMLESS. Tenant agrees to defend, indemnify and save Landlord harmless from all injury, loss claims or damage (including attorneys' fees and disbursements incurred by Landlord in conducting an investigation and preparing for and conducting a defense) by reason of injury to any person or property occurring on or at the Development or arising from, related to, or in any way connected with the use or occupancy of the Development or the conduct or operation of Tenant's business. Landlord and Landlord's agents and employees shall not be liable to Tenant or any other person or entity whomsoever for any injury to person or damage to property caused by the Development becoming out of repair or by defect in or failure of equipment, pipes or wiring, or broken glass, or by the backing up of drains, or by gas, water, steam electricity or oil leaking escaping or flowing into the Development, nor shall Landlord be liable to Tenant or any other person or entity whomsoever for any loss or damage that may be occasioned by or through the acts or omissions of any persons or entities whomsoever, excepting only duly authorized employees and agents of Landlord. With respect to latent or patent defects in the Development, Landlord shall have no liability, except as otherwise set forth in Section 2.2. Tenant shall indemnify and hold Landlord harmless from any loss, cost, expense or claims arising out of such injury or damage referred to in this Section. In the event of a Recapture Landlord agrees to defend, indemnify and save Tenant harmless from all injury, loss, claims or damage (including attorneys' fees and disbursements incurred by Tenant in conducting an investigation and preparing for and conducting a defense) by reason of injury to any person or property occurring on the Development resulting from Landlord's negligent performance of its obligations to maintain and repair the Common Areas, roof or exterior portions of the Building.
LANDLORD HELD HARMLESS.
