Laborers, Subcontractors and Materialmen. Owner shall use its ordinary policies and procedures to obtain affidavits and lien waivers from, and to contest or defend against claims from, laborers, subcontractors, materialmen, and other Persons who might or could, to Owner’s knowledge, claim statutory or common law Liens from furnishing or having furnished labor or material to the Project or any Phase.
Laborers, Subcontractors and Materialmen. Borrower shall notify Lender promptly, and in writing, if Borrower receives any default notice, notice of lien or demand for past due payment, written or oral, from any laborer, subcontractor or materialmen. Borrower will also furnish to Lender at any time and from time to time upon reasonable demand by Lender, lien waivers in form reasonably satisfactory to Lender bearing a then current date from the Major Contractors and the Major Subcontractors.

Following payment in full to each applicable party, the Borrower will also use reasonable efforts to furnish to the Lender, at any time and from time to time upon demand by the Lender, lien waivers bearing a then current date and prepared on a form satisfactory to the Lender from the contractors, subcontractors or materialmen as the Lender may reasonably require.

Lenders shall not be required to advance funds for any work not covered by a satisfactory lien waiver.

Borrower shall, and shall cause each Borrower Subsidiary to, notify Lender immediately if any Borrower Entity or Manager receives any written notice of material default (or any other default which would otherwise permit any Person other than any Borrower Entity to otherwise terminate the agreement for which such default notice applies), notice of lien or demand for past due payment from any laborer, subcontractor or materialman. In addition, at any time that any material dispute with any third party to a Major Contract shall commence, Borrower shall, and shall cause each Borrower Subsidiary to, advise Lender of the same in reasonable detail and keep Lender reasonably informed as of the status thereof.

The Borrower will furnish to the Agent, upon request at any time, and from time to time, affidavits listing all laborers, suppliers, subcontractors, materialmen, and any other Persons who might or could claim statutory or common law liens in excess of $50,000.00 and are furnishing or have furnished labor, equipment or material to the Project or any part thereof, together with affidavits, or other evidence satisfactory to the Agent, showing that such parties have been paid (or will be paid from proceeds of the next Advance) all amounts then due for labor, equipment and materials furnished to the Project. The Borrower will also furnish to the Agent, at any time and from time to time upon demand by the Agent, lien waivers bearing a date not prior to the Drawdown Date of the immediately preceding Draw Request and prepared on a form satisfactory to the Agent from the Contractor and such subcontractors, suppliers or materialmen as the Agent may reasonably designate.
