Labor Difficulties. Target is not engaged in any unfair labor practice or in violation of any applicable laws respecting employment, employment practices or terms and conditions of employment. There is no unfair labor practice complaint against Target pending, or to the best of Target's knowledge threatened, before any Governmental Entity. There is no strike, labor dispute, slowdown, or stoppage pending, or to the best of Target's knowledge threatened, against Target. Target is not now and has never been subject to any union organizing activities. Target has never experienced any work stoppage or other labor difficulty. To the best of Target's knowledge, except as set forth in Section 3.13 of the Target Disclosure Schedule, no Target employees intend to leave their employment, whether as a result of the transactions contemplated by this Agreement or otherwise.
