Knowledge of Parent. Where any representation or warranty contained in this Agreement is expressly qualified by reference to the best of knowledge of Parent, Parent confirms that it has made due and diligent inquiry of its President as to the matters that are the subject of such representations and warranties.
Knowledge of Parent. As of the date hereof, Parent has no Knowledge of any facts or circumstances which would cause the representations and warranties of the Company as set forth in Article 4 to fail to be true and correct in all material respects, or which would otherwise reasonably be expected to impede or delay the consummation of the transactions contemplated hereby.

Xxxxxxxx; provided, however, that it is understood and agreed that such individuals' discussions with Parent Associates, who at the time of such discussions have the title Vice President or more senior and who would reasonably be expected to have information with respect to the matter in question, shall constitute reasonable inquiry.
Knowledge of Parent. “Knowledge of Parent” shall mean the actual knowledge, after due inquiry, of the Persons set forth on Exhibit 1.29 attached hereto.Section 1.30.

Knowledge of Parent. As of the date hereof, neither Parent nor any of its Affiliates has any actual knowledge that any representation or warranty of the Company made in this Agreement is untrue or inaccurate in any material respect. Parent hereby acknowledges and agrees that it and its Affiliates shall have no right or remedy hereunder based on the inaccuracy of any representation or warranty contained in Article III hereof of which they had actual knowledge as of the date hereof.
