Common use of Key Suppliers Clause in Contracts

Key Suppliers. (a) Part 3.13 of the Disclosure Schedule sets forth a correct and complete list of the 10 largest suppliers, vendors or providers (by dollar volume) of products or services to the Acquired Companies (including, without limitation, advertising and marketing third party providers) during calendar year 2014 (each, a “Key Supplier”). Part 3.13 of the Disclosure Schedule also sets forth, for each Key Supplier, the aggregate payments from and to such Person by the Acquired Companies during such periods. To the knowledge of Seller, there are no outstanding disputes with any Key Supplier. (b) Since December 31, 2014, none of the suppliers listed on Part 3.13 of the Disclosure Schedule has indicated that it shall stop, or materially decrease the rate of, supplying materials, products or services to the Acquired Companies, or otherwise materially change the terms of its relationship with the Acquired Companies.
