Key Employee Agreements. Each of the Key Employee Agreements entered into concurrently with the execution of this Agreement shall be in full force and effect, no Key Employee shall have attempted (whether formally or informally) to terminate, rescind or repudiate any such Key Employee Agreement, and no Key Employee shall have notified (whether formally or informally) Parent or the Company of such Key Employee’s intention of leaving the employ of Parent or the Company following the Closing.
Key Employee Agreements. Four out of the five persons identified in Section 6.2(g) of the Company Disclosure Letter shall have entered into employment agreements with Parent, and such agreements shall be in full force and effect, and none of such employees shall have indicated any intention of not fulfilling his or her obligations thereunder.
Key Employee Agreements. Immediately after the Offer Completion, Parent and the Surviving Corporation will be deemed, by virtue of the execution by Parent and Purchaser of this Agreement, to have jointly and severally assumed and agreed to perform, the obligations of Company under each of the Company's Employee Agreements, dated as of May 19, 1999, as amended, between the Company and each of the employees listed on Section 6.15 of the Company Disclosure Schedule.
Key Employee Agreements. The Key Employee Agreements shall have been executed and delivered to Parent and the Company pursuant to Article 5 hereof.

Key Employee Agreements. Not more than fifteen percent (15%) of the persons listed on Schedule 7.2(e) shall have either (i) indicated in writing his or her intention to terminate his or her employment with the Company or its Subsidiary at any time following the Effective Time or (ii) terminated his or her employment with the Company or its Subsidiary at or prior to the Effective Time.
Key Employee Agreements. The Purchaser shall have received a duly executed Key Employee Employment Agreement from each Key Employee.
