Jurisdictions. The Managing Dealer shall conduct (and cause the Participating Brokers to conduct) Share Offers and Sales only in those jurisdictions specified in writing by the Company. The Company shall so specify only such jurisdictions where the offer and sale of its Shares have been authorized by appropriate regulatory authorities or where it has determined such authorization is not required.
