Jump. There are NO WARRANTIES made by Jump in connection with the subject matter of this Agreement except as set forth specifically herein. Jump represents and warrants to NuTech Digital that (a) Jump is a corporation duly organized, validly existing and in good standing under the laws of the State of Nevada and has the corporate power and authority to enter into this Agreement and to carry out its obligations hereunder, (b) this Agreement has been duly executed and delivered by Jump and constitutes and will constitute a valid and binding obligation of Jump, and is and will be enforceable against Jump in accordance with its terms, subject to bankruptcy, insolvency, reorganization, moratorium and similar laws of general applicability relating to or affecting creditors’ rights and to general equity principles, and (c) the execution and delivery of this Agreement by Jump does not, and the performance of this Agreement by Jump will not, (1) violate the certificate of incorporation or by-laws of Jump, (2) conflict with or violate any statute, rule, regulation, order, judgment or decree applicable to Jump or by which it or any of its assets or properties is bound or affected, or (3) conflict with or violate the rights of any other person or entity. NuTech Digital acknowledges that, except for the express warranties set forth in this Section 4, it has accepted the license and delivery of the Jump Software “AS IS” and “WITH ALL FAULTS.” With respect to the Jump Software and all Jump Software Updates and Support Services the warranties are as follows: (i) the Jump Software is, and any Jump Software Updates will be, free and clear of all Liens that might adversely affect NuTech Digital’s deployment and use of the Jump System as permitted under this Agreement; (ii) Jump owns or has exclusive, fully-paid, irrevocable and perpetual license rights in and to the Jump Software and the Jump Software Updates; and Jump owns or otherwise has adequate rights to grant the licenses to the Jump Software and the Jump Software Updates to NuTech Digital hereunder and possesses all rights and interests in the Jump Software and the Jump Software Updates necessary to enter into this Agreement; and (iii) the Jump Software and the Jump Software Updates and all components thereof do not and will not infringe upon the intellectual property rights, including without limitation the patent, copyright, trademark or trade secret rights, of any third parties.

Jump. A jump shall consist of a failure to notify the supervisor at least forty (40) minutes prior to the scheduled report time or if a Coach Operator notifies the supervisor within thirty (30) minutes after the designated report time, and makes him/herself available for work. All jumped operators shall work at the bottom of the part-time extra list. All work that can be assigned according to rotation and time out shall be crewed out before a jumped operator may receive work. Any reports made after the employee has been "jumped" for the purpose of receiving a position of work assignment shall not be subject to a three (3) hour minimum payment.

  • Loop Provisioning Involving Integrated Digital Loop Carriers 2.6.1 Where EveryCall has requested an Unbundled Loop and BellSouth uses Integrated Digital Loop Carrier (IDLC) systems to provide the local service to the end user and BellSouth has a suitable alternate facility available, BellSouth will make such alternative facilities available to EveryCall. If a suitable alternative facility is not available, then to the extent it is technically feasible, BellSouth will implement one of the following alternative arrangements for EveryCall (e.g. hairpinning):

  • Smoke Detectors At Owner's expense, smoke detectors will be installed on the Property in working condition in accordance with the law prior to the tenant's occupancy. During the occupancy, it shall be the tenant's responsibility to maintain all smoke detectors. Owner will replace smoke detector equipment as needed.

  • Dark Fiber 8.1 Subject to the conditions set forth in Section 1 of this Attachment and upon request by CBB, Verizon shall provide CBB with access to unbundled Dark Fiber Loops, Dark Fiber Sub-Loops and Dark Fiber IOF in accordance with, and subject to, the rates, terms and conditions provided in the Pricing Attachment and rates, terms and conditions of Verizon’s applicable Tariffs. Access to unbundled Dark Fiber Loops, Dark Fiber Sub-Loops and Dark Fiber IOF will be provided by Verizon only where existing facilities are available. Access to Dark Fiber Loops, Dark Fiber Sub-Loops and Dark Fiber IOF will be provided in accordance with, but only to the extent required by, Applicable Law. Dark Fiber Loops, Dark Fiber Sub-Loops and Dark Fiber IOF consist of Verizon optical transmission facilities without attached multiplexers, aggregation or other electronics. The various UDLs are intended to support a specific digital transmission scheme or service.

  • Games The Private Party shall not be entitled to introduce any arcade type amusement or gaming machines into the Restaurant Facility without the prior written approval of SANParks.

  • Sports related devices, services and medications used to affect performance primarily in sports- related activities; all expenses related to physical conditioning programs such as athletic training, bodybuilding, exercise, fitness, flexibility, and diversion or general motivation.

  • Vaccine Passports Pursuant to Texas Health and Safety Code, Section 161.0085(c), Contractor certifies that it does not require its customers to provide any documentation certifying the customer’s COVID-19 vaccination or post-transmission recovery on entry to, to gain access to, or to receive service from the Contractor’s business. Contractor acknowledges that such a vaccine or recovery requirement would make Contractor ineligible for a state-funded contract.

  • Shift Rotation Routine shift rotation is not an approach to staffing endorsed by the Employer. Except for emergency situations where it may be necessary to provide safe patient care, shift rotation will not be utilized without mutual consent. If such an occasion should ever occur, volunteers will be sought first. If no one volunteers, the Employer will rotate shifts on an inverse seniority basis until the staff vacancies are filled.

  • Mobility 7.1 There may also be a business need to travel and work on a temporary basis at any premises which the Corporation currently has or may subsequently acquire or at any premises at which it may from time to time provide services. This would be subject to discussion and agreement giving due regard to the following considerations: - The location and arrangements for travel and subsistence; - The length of the working day with increased travel time; - The hours of work; - The timescale and duration of the proposed arrangements; - The employee’s personal and family circumstances.
