The party receiving the list shall have thirty (30) days from delivery of such list within which to select one judge from the list who one try the matter, or, if such party objects to all of the judges specified on such list, then the Court for the County of Los Angeles shall order a reference to any other retired judge of said Court. Each party may reject one of the judges appointed by the Court. Each party waives the right to trial by jury. Judicial Reference. If any Party to this Agreement commences a lawsuit for a dispute arising under this Agreement, or relating to the waiver Site or the Cypress Knolls Project, or the condition, design or construction of any portion of the right Cypress Knolls Project, all the issues in such action, whether of fact or law, shall be resolved by judicial reference pursuant to the provisions of California Code of Civil Procedure Sections 638.1 and 641 through 645.1. The Parties shall cooperate in good faith to ensure that all necessary and appropriate parties are included in the judicial reference proceeding. Developer shall not be required to participate in the judicial reference proceeding unless it is satisfied that all necessary and appropriate Parties will participate. The following shall apply to any such proceedings:
a. The proceeding shall be brought and held in Monterey County, unless the Parties agree to an alternative venue.
b. The Parties shall use the procedures adopted by JAMS/ENDISPUTE ("JAMS") for judicial reference and selection of a trial by jury is not enforceable, referee (or any other entity offering judicial reference dispute resolution procedures as may be mutually acceptable to the parties hereto Parties).
c. The referee must be a retired judge or a licensed attorney with substantial experience in relevant real estate matters.
d. The Parties to the litigation shall agree that upon a single referee who shall have the power to try any and all disputes of the issues raised, whether of fact or controversies of any nature between them arising at any time law, which may be pertinent to the matters in dispute, and to issue a statement of decision thereon. Judicial Reference. The parties to this Amendment prefer that any dispute between or among them be resolved in litigation subject to a jury trial waiver as set forth in Section 10 above and in Section 13.7 of the Financing Agreement.
